  1. This Purchase Order constitutes a binding agreement between Instituto de Salud y Tecnología Médica S.A.S. and the contracted Biomedical Engineer for the provision of professional engineering services within the jurisdiction of Colombia Bogotá.
  2. The Biomedical Engineer shall hold a valid professional registration with the Cámara de Comercio de Bogotá and shall maintain all necessary certifications required by Colombian national regulations for the practice of biomedical engineering in healthcare settings.
  3. All services rendered under this Purchase Order shall comply with the technical standards established by INVIMA, the Colombian Ministry of Health and Social Welfare, and the local Secretaría de Salud de Bogotá.
  4. The Biomedical Engineer shall submit monthly progress reports detailing completed maintenance activities, equipment status assessments, and any corrective actions taken within the facilities located in Colombia Bogotá.
  5. Payment shall be processed within thirty (30) calendar days from the date of invoice receipt, subject to verification of service delivery. All payments shall be made in Colombian Pesos (COP) via bank transfer to the account designated by the Biomedical Engineer.
  6. The Biomedical Engineer shall maintain professional liability insurance with a minimum coverage of COP 500,000,000, valid throughout the term of this Purchase Order.
  7. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biomedical Engineer shall be compensated for all services rendered up to the effective date of termination.
  8. All intellectual property, documentation, and technical records generated during the execution of this Purchase Order shall remain the exclusive property of Instituto de Salud y Tecnología Médica S.A.S.
  9. This Purchase Order shall be governed by and interpreted in accordance with the commercial and labor laws of the Republic of Colombia, with jurisdiction vested in the competent courts of Colombia Bogotá.
  10. The Biomedical Engineer shall adhere to all data protection regulations under Ley 1581 de 2012 (Colombian Data Protection Law) when handling patient-related equipment data or clinical information within the Colombia Bogotá facility.
