1. Scope of Work: This Purchase Order authorizes BioMed Solutions Colombia S.A.S. to provide the professional services of a qualified Biomedical Engineer, along with the associated equipment and training, as described in the line items above. All services shall be performed at the Hospital Universitario de Medellín facility located in Colombia Medellín, Antioquia, in full compliance with Colombian healthcare regulations and MinSalud technical standards.
2. Qualifications: The Biomedical Engineer assigned to this contract must hold a valid professional license (Registro Calificado) issued by the Colombian Ministry of Health, a minimum of five (5) years of experience in clinical engineering, and demonstrated expertise in medical device calibration, electrical safety testing, and regulatory compliance within the Colombia Medellín healthcare district.
3. Delivery & Installation: All physical equipment and spare parts listed in this Purchase Order shall be delivered to the receiving warehouse at the Colombia Medellín hospital campus no later than July 15, 2025. Installation and commissioning shall be completed within ten (10) business days of delivery. The Biomedical Engineer team from the vendor shall oversee all installation activities.
4. Payment: Payment shall be made within thirty (30) calendar days from the date of invoice receipt, via bank transfer to the account designated by the vendor. Invoices must include the NIT, Purchase Order number, and a detailed breakdown of services rendered. Late payments shall accrue interest at the rate established by the Colombian Superintendencia Financiera.
5. Warranties: All equipment supplied under this Purchase Order carries a minimum manufacturer warranty of twenty-four (24) months from the date of installation. The Biomedical Engineer services are warranted for a period of twelve (12) months, during which any re-calibration or re-inspection required due to vendor error shall be performed at no additional cost.
6. Compliance & Safety: The vendor and the assigned Biomedical Engineer shall comply with all applicable Colombian labor laws, occupational health and safety regulations (Resolución 0312 de 2019), and data protection laws (Ley 1581 de 2012) while performing work within the Colombia Medellín facility. The vendor shall maintain adequate professional liability insurance throughout the contract period.
7. Cancellation & Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the buyer shall compensate the vendor for all services rendered and non-cancellable equipment orders placed up to the termination date.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through the competent commercial courts of Colombia Medellín, Antioquia.
