1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by Nile Delta Medical Equipment & Services Co., headquartered in Egypt Cairo, to formally authorize the procurement of professional services and specialized equipment required for the deployment of a qualified Biomedical Engineer at our Cairo Central Hospital facility. The scope of this Purchase Order encompasses the recruitment, onboarding, and full-time engagement of a certified Biomedical Engineer who will be responsible for the installation, calibration, maintenance, and regulatory compliance of all medical devices and diagnostic equipment across the hospital's twelve clinical departments. The Biomedical Engineer engaged under this Purchase Order shall operate exclusively within the Egypt Cairo metropolitan area and shall comply with all standards set forth by the Egyptian Ministry of Health and Population, the Egyptian Organization for Standardization and Quality (EOS), and the relevant provisions of the Egyptian Medical Devices Regulation Law No. 151 of 2019.

All services and equipment specified in this Purchase Order shall be delivered and performed at the following location: Nile Delta Medical Equipment & Services Co. – Cairo Central Hospital Campus, 142 El Tahrir Street, Downtown District, Egypt Cairo, 11511. The Biomedical Engineer shall report to the Clinical Engineering Department office on the third floor of the main hospital building. All equipment deliveries must be made between the hours of 08:00 and 16:00, Monday through Friday, in accordance with the hospital's security and access protocols. The vendor shall bear all transportation and logistics costs within the Egypt Cairo metropolitan area.
4. Payment Terms- Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the vendor's designated account at Commercial International Bank (CIB), Egypt Cairo branch.
- 30% advance payment upon acceptance of this Purchase Order and confirmation of the Biomedical Engineer's credentials and professional license.
- Remaining 70% shall be paid in twelve equal monthly installments, due on the 5th business day of each month, subject to satisfactory performance review by the hospital's Chief Medical Officer.
- Equipment deliveries (Item 03) shall be invoiced separately and paid within 30 days of receipt and inspection at the Egypt Cairo facility.
- Late payments shall incur a penalty of 1.5% per month, in accordance with Egyptian Commercial Law.
- The Biomedical Engineer engaged under this Purchase Order must hold a valid professional license issued by the Egyptian Engineers Syndicate and a current certificate of registration with the Egyptian Ministry of Health and Population.
- The vendor shall provide a comprehensive insurance policy covering professional liability, personal injury, and equipment damage, with a minimum coverage of EGP 5,000,000, valid throughout the Egypt Cairo operational area.
- All work performed by the Biomedical Engineer shall comply with IEC 62353, IEC 60601, and applicable Egyptian national standards. Non-compliance shall result in immediate suspension of the Purchase Order.
- The vendor warrants that all equipment supplied under this Purchase Order shall be new, unused, and accompanied by original manufacturer warranties of no less than two years.
- Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Biomedical Engineer shall complete all outstanding calibration and maintenance tasks before departure from the Egypt Cairo site.
- All intellectual property, maintenance records, and compliance documentation generated during the term of this Purchase Order shall remain the property of Nile Delta Medical Equipment & Services Co. and shall be stored at the Egypt Cairo facility.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Egypt Cairo in accordance with the rules of the Egyptian Arbitration Center.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. The Biomedical Engineer services and equipment described herein are authorized for procurement and delivery to the Egypt Cairo facility effective from the date of the first signature below.
