This Purchase Order is issued by Hôpital Universitaire de la Seine to formally engage the services of a qualified Biomedical Engineer for the period specified below. 3. SCOPE AND OBLIGATIONS OF THE BIOMEDICAL ENGINEER

The Biomedical Engineer engaged under this Purchase Order shall:

  1. Hold a valid engineering degree (Diplôme d'Ingénieur) in biomedical or electrical engineering and maintain active registration with the relevant French professional body.
  2. Comply with all French and European regulations pertaining to medical device maintenance, including the French Public Health Code (Code de la Santé Publique) and EU Medical Device Regulation.
  3. Carry professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €5,000,000, valid throughout the duration of this Purchase Order.
  4. Report all findings, incidents, and corrective actions in writing within 48 hours of occurrence. All reports shall be submitted to the Director of Medical Engineering at the France Paris hospital facility.
  5. Ensure that all work performed meets the quality standards defined in ISO 13485 (Medical Devices – Quality Management Systems) and ISO 9001.
  6. Respect all hospital security protocols, patient confidentiality obligations under French data protection law (RGPD / GDPR), and site access rules in France Paris.
4. PAYMENT TERMS AND CONDITIONS
  1. Payment shall be made by bank transfer to the account designated by the Biomedical Engineer within 30 calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-FR-2025-04872).
  2. Invoices shall be issued in EUR and must include the SIRET number of the buyer, the INSEE professional ID of the supplier, and the applicable TVA rate.
  3. For the monthly support service (Item 03), invoices shall be issued at the end of each calendar month for services rendered.
  4. Late payments shall incur interest at the rate prescribed by Article L441-10 of the French Commercial Code.
  5. Any dispute arising from this Purchase Order shall be resolved by the competent courts of France Paris, in accordance with French law.
5. DURATION AND TERMINATION

This Purchase Order is effective from 1 July 2025 through 31 December 2025. Either party may terminate this engagement with 30 days' written notice. In the event of termination, the Biomedical Engineer shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress documentation shall be handed over to the buyer.

6. ACCEPTANCE AND SIGNATURES

By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Biomedical Engineer in France Paris.
