- 5.1 This Purchase Order is governed by the laws of the Federal Republic of Germany, with jurisdiction vested in the competent courts of Berlin, Germany. All disputes arising from this Purchase Order shall be resolved in accordance with German commercial law (HGB) and applicable civil code provisions.
- 5.2 The Biomedical Engineer engaged under this Purchase Order must hold a recognized degree in Biomedical Engineering or an equivalent qualification accredited by the relevant German professional body (e.g., VDI — Verein Deutscher Ingenieure). The engineer must be legally authorized to practice in Germany Berlin and must comply with all local labor regulations.
- 5.3 Payment terms: Net 30 days from the date of invoice issuance. Invoices shall be submitted to the purchasing entity in Germany Berlin via electronic transfer to the designated bank account. Late payments shall incur interest at the statutory rate under German law (BGB §288).

The supplier is responsible for ensuring the Biomedical Engineer is available and fully operational from the commencement date specified in this Purchase Order.

This document is valid for a period of twelve (12) months from the date of signature and may be renewed by mutual written agreement.
