This Purchase Order is issued by Mumbai Metropolitan Healthcare Consortium (hereinafter referred to as the "Buyer") to MedTech Solutions India Pvt. Ltd. (hereinafter referred to as the "Seller") for the engagement of a qualified Biomedical Engineer to provide specialized technical services at the Buyer's facilities located in India Mumbai. The Biomedical Engineer shall be responsible for the installation, calibration, maintenance, and troubleshooting of all medical diagnostic and therapeutic equipment across the Buyer's three hospital campuses situated in the India Mumbai metropolitan region, including the Bandra East, Andheri West, and Thane locations.

The Biomedical Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Biomedical Engineering from an AICTE-approved institution in India, possess a valid license issued by the Maharashtra State Biomedical Equipment Technicians Council, and demonstrate a minimum of five (5) years of hands-on experience in hospital-grade medical device management within the India Mumbai healthcare ecosystem.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon countersignature. All services shall be rendered in strict compliance with the Medical Devices and Products (Management) Rules, 2017, and applicable regulations of the Maharashtra State Government governing the practice of a Biomedical Engineer in India Mumbai.
2. The Biomedical Engineer assigned under this Purchase Order shall report directly to the Chief Medical Officer of the Buyer's Bandra East facility in India Mumbai and shall adhere to all hospital policies, infection control protocols, and patient safety guidelines in effect at the time of engagement.
3. Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid tax invoice from the Seller. All payments shall be processed via NEFT/RTGS to the Seller's designated bank account in India Mumbai. TDS shall be deducted at the prevailing rate under Section 194J of the Income Tax Act, 1961, as applicable to professional services rendered by a Biomedical Engineer.
4. The Seller warrants that the Biomedical Engineer deployed shall not be concurrently engaged with any competing healthcare facility within a 10-kilometre radius of the Buyer's premises in India Mumbai during the term of this Purchase Order.
5. Any modification, extension, or cancellation of this Purchase Order shall require a written amendment signed by both parties. The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of persistent non-performance by the Biomedical Engineer.
6. All work performed by the Biomedical Engineer under this Purchase Order shall be subject to quality audits conducted by the Buyer's Internal Quality Assurance Cell located in India Mumbai. Non-conformances must be rectified within forty-eight (48) hours of written notification.
7. Disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration fixed at India Mumbai, Maharashtra, India. The language of arbitration shall be English.
8. The Seller shall maintain professional indemnity insurance of not less than INR 50,00,000 covering all activities of the Biomedical Engineer performed under this Purchase Order within the India Mumbai jurisdiction.

The engagement of the Biomedical Engineer under this Purchase Order shall commence on 01 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless extended by mutual written consent of both parties. The Biomedical Engineer shall be physically present at the designated India Mumbai facility no later than 08:30 AM on the first working day of the engagement period.
