3. TERMS AND CONDITIONS- Scope of Work: The Biomedical Engineer engaged under this Purchase Order shall report directly to the Head of Biomedical Engineering at PT Rumah Sakit Medika Nusantara, Indonesia Jakarta. The engineer must hold a minimum of a Bachelor's degree in Biomedical Engineering from an accredited institution in Indonesia or internationally recognized equivalent, and possess a valid professional license (SIP) issued by the relevant Indonesian regulatory body.
- Commencement Date: Services shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. The Biomedical Engineer must be physically present at the hospital premises in Indonesia Jakarta during standard working hours (Monday to Friday, 08:00–17:00 WIB) and available for emergency call-outs as specified in Line Item 2.
- Payment Terms: Payment shall be made in monthly installments of IDR 28,675,000 (inclusive of VAT) via bank transfer to the Supplier's designated account. The first payment is due within thirty (30) calendar days from the date of this Purchase Order. Subsequent payments shall be due on the 5th of each following month, contingent upon satisfactory performance review by the Buyer's Quality Assurance team.
- Performance Standards: The Biomedical Engineer shall respond to critical equipment failures within two (2) hours and to non-critical issues within twenty-four (24) hours. Monthly performance reports must be submitted to the Buyer by the 3rd business day of each month. Failure to meet these standards for two consecutive months shall constitute grounds for termination of this Purchase Order without penalty to the Buyer.
- Compliance and Regulation: All services rendered by the Biomedical Engineer must comply with Indonesian national standards (SNI), BPOM regulations for medical devices, and Kemenkes (Ministry of Health) guidelines applicable in Indonesia Jakarta. The Supplier warrants that the Biomedical Engineer shall maintain all necessary certifications and professional registrations throughout the contract period.
- Confidentiality: The Biomedical Engineer shall be bound by a strict non-disclosure agreement covering all patient data, proprietary hospital systems, equipment specifications, and operational procedures encountered during the engagement in Indonesia Jakarta. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall ensure a smooth transition of all ongoing maintenance schedules, equipment logs, and calibration records to the Buyer or a successor Biomedical Engineer designated by the Buyer.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this agreement shall be resolved through arbitration in Indonesia Jakarta in accordance with the rules of the Indonesian National Board of Arbitration (BANI).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in Indonesia Jakarta.
The Supplier shall confirm in writing the identity, qualifications, and availability of the assigned Biomedical Engineer no later than five (5) business days prior to the commencement date. The Buyer reserves the right to reject the proposed Biomedical Engineer candidate if the qualifications do not meet the specifications outlined in this Purchase Order, in which case the Supplier shall provide a replacement candidate within ten (10) business days at no additional cost.
