1. Scope of Purchase Order

This Purchase Order is formally issued by Tehran University of Medical Sciences to procure the professional services of a qualified Biomedical Engineer for the installation, calibration, maintenance, and technical oversight of advanced medical diagnostic and therapeutic equipment within the hospital facilities located in Iran Tehran. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the engagement of the Biomedical Engineer and shall remain in full effect until the completion of all specified services or the expiration date stated herein, whichever occurs first.

3. Terms and Conditions
  1. Qualification Requirement: The Biomedical Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Biomedical Engineering from an accredited institution in Iran Tehran or internationally recognized university, and must possess a valid professional license issued by the Iranian Biomedical Engineering Association. A minimum of seven (7) years of hands-on experience in hospital-grade medical equipment is mandatory.
  2. Place of Performance: All services described in this Purchase Order shall be executed at the designated hospital facilities located in Iran Tehran, specifically at the addresses listed in Section 2. The Biomedical Engineer shall bear all travel and transportation costs within the Tehran metropolitan area.
  3. Payment Schedule: Payment for this Purchase Order shall be made in three (3) equal installments: 40% upon successful completion of the initial installation phase, 35% upon completion of the second quarter of preventive maintenance, and the remaining 25% upon final acceptance of all deliverables and submission of the compliance audit report. All payments shall be processed via bank transfer to the account specified by the supplier.
  4. Warranty and Liability: The Biomedical Engineer shall provide a twelve (12) month warranty on all calibration and repair work performed under this Purchase Order. Any equipment failure directly attributable to improper engineering work shall be rectified at no additional cost to the purchasing party within forty-eight (48) hours of notification.
  5. Confidentiality: The Biomedical Engineer shall maintain strict confidentiality regarding all patient data, hospital operational protocols, and proprietary equipment configurations encountered during the performance of services in Iran Tehran. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  6. Regulatory Compliance: All work performed by the Biomedical Engineer under this Purchase Order shall comply with the regulations set forth by the Iranian Ministry of Health and Medical Education, the Food and Drug Administration of Iran (FDAI), and all applicable national standards governing biomedical equipment in Iran Tehran.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the purchasing party shall compensate the Biomedical Engineer for all services rendered up to the date of termination, less any applicable penalties for incomplete deliverables.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran. Any disputes arising from this Purchase Order shall be resolved through arbitration in Iran Tehran in accordance with the rules of the Tehran International Arbitration Center.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Iran Tehran.
4. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Biomedical Engineer in Iran Tehran. This document constitutes a binding agreement between the parties as of the date of the last signature.
