2. Description of Purchase & Scope of Work

This Purchase Order is issued by Al-Rafidain Medical Equipment & Engineering Co. to formally engage the services of a qualified Biomedical Engineer for the period specified herein. The engagement is to be carried out within the jurisdiction of Iraq Baghdad, specifically at the Al-Yarmouk General Hospital facility located in the Al-Yarmouk District, Baghdad, Iraq.

The Biomedical Engineer shall be responsible for the following scope of work under this Purchase Order:

3. Terms and Conditions of This Purchase Order

3.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Biomedical Engineer named herein. All work shall be performed in accordance with the professional standards established by the Iraqi Engineers Syndicate and the regulatory requirements of the Iraqi Ministry of Health in Baghdad.

3.2 The Biomedical Engineer shall maintain valid professional licensure throughout the duration of this Purchase Order. Any lapse in licensure shall constitute grounds for immediate termination of this Purchase Order without penalty to the Purchasing Entity.

3.3 All services described in this Purchase Order shall be executed within the geographic boundaries of Iraq Baghdad, with primary operations at Al-Yarmouk General Hospital. Travel to secondary sites within the Baghdad Governorate is included in the contracted scope.

3.4 Payment shall be made in Iraqi Dinar (IQD) via bank transfer to the account designated by the Biomedical Engineer. Invoices shall be submitted monthly, and payment shall be processed within thirty (30) calendar days of invoice receipt and verification of completed deliverables.

3.5 The Biomedical Engineer shall provide a detailed progress report to the Procurement Director of Al-Rafidain Medical Equipment & Engineering Co. on the last working day of each month, documenting all maintenance activities, installations, and compliance actions performed in Iraq Baghdad.

3.6 All intellectual property, technical documentation, and calibration records generated under this Purchase Order shall remain the property of the Purchasing Entity. The Biomedical Engineer shall deliver all such records in both digital and hard-copy format upon completion of each phase.

3.7 This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Baghdad, Iraq.

3.8 The Biomedical Engineer shall comply with all applicable health, safety, and environmental regulations in force in Iraq Baghdad, including but not limited to radiation safety protocols for imaging equipment and electrical safety standards for clinical devices.

3.9 This Purchase Order may be amended only by written mutual consent of both parties. No verbal modifications shall be recognized or enforceable.

3.10 The validity period of this Purchase Order is six (6) months from the date of issue, unless extended in writing by both parties. The Biomedical Engineer shall complete all deliverables within this period or provide a written justification for any extension.

4. Acceptance and Authorization

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Biomedical Engineer in Iraq Baghdad.
