This Purchase Order is issued by the Jerusalem Medical & Research Institute to formally engage the services of a qualified Biomedical Engineer to be deployed at the facility located in Israel Jerusalem. The Biomedical Engineer engaged under this Purchase Order must hold a valid Israeli professional license issued by the Israeli Ministry of Health, possess a minimum of five (5) years of documented experience in clinical biomedical engineering, and demonstrate proficiency in both English and Hebrew to ensure seamless communication with hospital staff, administrative personnel, and regulatory authorities operating within Israel Jerusalem. The Biomedical Engineer shall report directly to the Chief Technical Officer of the Jerusalem Medical & Research Institute and shall comply with all applicable Israeli medical device regulations, including those governed by the Israeli Standards Institute (SII) and the Ministry of Health's Medical Devices Regulations.

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order relating to the Biomedical Engineer's services in Israel Jerusalem shall be subject to the exclusive jurisdiction of the competent courts in Israel Jerusalem.
Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from MedTech Solutions Ltd. Invoices shall reference this Purchase Order number (IL-JR-2025-04782) and shall be submitted to the Procurement Department of the Jerusalem Medical & Research Institute in Israel Jerusalem.
Performance Standards: The Biomedical Engineer shall respond to all critical equipment failures within two (2) hours of notification and shall restore full operational status within eight (8) hours. Non-critical maintenance requests shall be addressed within forty-eight (48) hours. Failure to meet these response times shall result in a service credit of 2% of the monthly fee per incident.
Confidentiality: The Biomedical Engineer shall maintain strict confidentiality regarding all patient data, proprietary medical device configurations, and institutional research data encountered during the course of services rendered in Israel Jerusalem. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Insurance and Liability: MedTech Solutions Ltd. shall maintain professional liability insurance with a minimum coverage of ILS 5,000,000 and workers' compensation insurance as required by Israeli labor law. The Biomedical Engineer shall be covered under these policies for the entire duration of engagement in Israel Jerusalem.
Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. Termination shall not affect obligations accrued prior to the effective date of termination.

Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Israel Jerusalem.
