1. SCOPE OF PROCUREMENT

This Purchase Order is issued by the Azienda Ospedaliera Universitaria Federico II in Naples, Italy, to formally procure the professional services of a qualified Biomedical Engineer for a period of twelve (12) months. The engagement is intended to support the hospital's ongoing modernization of diagnostic imaging systems, surgical instrumentation calibration, and biomedical device maintenance programs within the facilities located in the city of Naples and its surrounding metropolitan area in the Campania region of Italy.

The Biomedical Engineer shall be responsible for the installation, commissioning, preventive maintenance, and troubleshooting of all Class IIa and Class IIb medical devices as classified under the European Medical Device Regulation (EU) 2017/745. The role requires full compliance with Italian national health regulations, including those issued by the Ministero della Salute and the local ASL Napoli 1 Centro authority. The Biomedical Engineer must hold a valid professional registration with the Ordine degli Ingegneri della Provincia di Napoli and possess a minimum of five (5) years of documented experience in hospital-grade biomedical engineering within Italy.

3. TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding procurement instrument under Italian public procurement law (D.Lgs. 36/2023 – Codice dei Contratti Pubblici). All terms herein are subject to the laws of the Republic of Italy and the specific regulations applicable to the Province of Naples.
  2. The Biomedical Engineer engaged under this Purchase Order shall report directly to the Chief Medical Officer of the Federico II Hospital in Naples and shall adhere to all institutional protocols, data protection requirements (GDPR and Italian D.Lgs. 196/2003), and occupational health and safety standards (D.Lgs. 81/2008) in force in Italy Naples.
  3. The supplier, MedTech Consulting S.r.l., warrants that the Biomedical Engineer assigned to this contract holds all necessary qualifications, certifications, and professional registrations valid in the Italian healthcare system, specifically within the Campania region and the city of Naples.
  4. Payment shall be processed via bank transfer within sixty (60) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by Italian law (Legge 192/1998) as amended.
  5. The Biomedical Engineer shall maintain a detailed log of all interventions, calibrations, and safety checks performed on medical devices at the Naples facility. Monthly reports shall be submitted to the hospital's Technical Directorate by the fifth business day of each subsequent month.
  6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Biomedical Engineer shall complete all in-progress maintenance tasks and hand over all documentation and equipment to the hospital administration in Naples.
  7. All disputes arising from this Purchase Order shall be resolved by the competent courts of Naples, Italy, in accordance with Italian civil and commercial procedure. The parties agree to attempt mediation before the Camera di Commercio di Napoli prior to initiating any judicial proceedings.
  8. This Purchase Order is valid for a single engagement period of twelve (12) months commencing on 01 September 2025 and expiring on 31 August 2026, unless renewed in writing by both parties no later than thirty (30) days prior to expiry.
