The Biomedical Engineer engaged under this Purchase Order must satisfy the following minimum qualifications:

• A minimum of five (5) years of progressive professional experience in biomedical engineering, with at least two (2) years in a hospital or clinical environment in West Africa, preferably in Abidjan or another major Ivorian city.
• Valid professional registration with the Ivorian Order of Engineers (Ordre des Ingénieurs de Côte d'Ivoire) and compliance with all regulatory requirements of the Ministry of Health of Ivory Coast.
• Demonstrated proficiency in the maintenance and calibration of imaging, laboratory, and surgical biomedical equipment.
• Fluency in French (working language of the hospital) and working proficiency in English.
• Valid residence permit or work authorization for the Ivory Coast, Abidjan jurisdiction.

1. Payment shall be made on a monthly basis, within thirty (30) calendar days of receipt of a valid invoice from SISB SARL, Abidjan, confirming the services rendered by the Biomedical Engineer during the preceding month.
2. All payments shall be processed in West African CFA Francs (XOF) via bank transfer to the supplier's designated account at Société Générale Côte d'Ivoire, Abidjan branch.
3. A retention of five percent (5%) shall be withheld from each monthly payment and released in full upon satisfactory completion of the twelve-month contract term, subject to a final performance review by the hospital's procurement committee in Abidjan.
4. Any additional services beyond the scope defined in this Purchase Order shall require a written amendment signed by both parties prior to execution.
5. Late payments shall incur interest at the rate of 1.5% per month, in accordance with Ivorian commercial law applicable in Abidjan.

All services under this Purchase Order shall be performed at the Hôpital Universitaire de Cocody, Boulevard Latrille, Cocody, Abidjan, Ivory Coast, and at such other hospital satellite facilities within the Abidjan metropolitan area as may be designated in writing by the Buyer. The Biomedical Engineer shall report to the Medical Equipment Division office on the hospital premises, Monday through Friday, 08:00 to 17:00, with additional on-call availability as specified in Item 05 above.

1. This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Côte d'Ivoire (Ivory Coast), including the Ivorian Public Procurement Code and applicable labor regulations in Abidjan.
2. The supplier warrants that the Biomedical Engineer assigned to this contract shall be fully insured, including professional liability insurance with a minimum coverage of 50,000,000 XOF, valid throughout the contract period in Abidjan.
3. Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the other party, subject to the dispute resolution mechanisms outlined in Article 12 of the Ivorian Commercial Code.
4. All intellectual property developed specifically for the hospital under this engagement shall remain the property of Hôpital Universitaire de Cocody, Abidjan.
5. The supplier shall comply with all data protection and patient confidentiality regulations applicable in Ivory Coast, including the Ivorian Law No. 2013-450 on personal data protection.
6. Any disputes arising from this Purchase Order shall be resolved through amicable negotiation first, and failing that, through the competent commercial courts of Abidjan, Ivory Coast.
