This Purchase Order is issued by Kyoto Advanced Medical Research Institute (KAMRI) to formally authorize the procurement of specialized Biomedical Engineer professional services for deployment within the Japan Kyoto metropolitan area. 4.1 This Purchase Order constitutes a binding agreement between KAMRI and MedTech Solutions International Co., Ltd. upon signature by both authorized representatives. All services described herein shall be rendered by a certified Biomedical Engineer holding valid registration with the Japan Society of Biomedical Engineering and possessing a minimum of eight (8) years of progressive experience in clinical biomedical engineering within Japan.
4.2 The Biomedical Engineer assigned to this Purchase Order shall maintain all professional liability insurance coverage at a minimum of 100,000,000 JPY per occurrence, with KAMRI named as an additional insured party. Proof of insurance shall be provided prior to the commencement of services in Japan Kyoto.
4.3 Payment shall be rendered in Japanese Yen (JPY) via bank transfer to the account designated by the vendor. Invoices shall be submitted monthly within ten (10) business days of the end of each calendar month. Payment is due within forty-five (45) days of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Japanese commercial law.
4.4 The Biomedical Engineer shall adhere to all data protection requirements under the Japanese Act on the Protection of Personal Information (APPI) and shall execute a Non-Disclosure Agreement (NDA) prior to accessing any patient data, proprietary research materials, or institutional records at the KAMRI Japan Kyoto facility.
4.5 KAMRI reserves the right to terminate this Purchase Order with thirty (30) days written notice in the event of material breach, failure to meet performance benchmarks, or loss of the Biomedical Engineer's professional registration. Upon termination, all work-in-progress deliverables shall be transferred to KAMRI at no additional cost.
4.6 All disputes arising from this Purchase Order shall be resolved through arbitration in Japan Kyoto in accordance with the rules of the Japan Commercial Arbitration Association (JCAA). The governing law shall be the laws of Japan.
Services under this Purchase Order shall commence no later than 1 July 2025. The Biomedical Engineer shall report to the KAMRI Japan Kyoto facility at 12-45 Higashiyama-ku, Kyoto, no later than 08:30 JST on each scheduled working day. A formal acceptance inspection of the first quarter of services shall be conducted by the KAMRI Quality Assurance Committee by 31 October 2025. Acceptance is contingent upon the Biomedical Engineer demonstrating full compliance with all technical specifications, safety protocols, and regulatory requirements applicable to biomedical engineering operations in Japan Kyoto.
