Order Details & Scope of Work

This Purchase Order is issued by Osaka Metropolitan Medical Research Institute to procure the professional services of a qualified Biomedical Engineer along with associated diagnostic and calibration equipment. The engagement is specifically designated for deployment and operational use within the Japan Osaka metropolitan healthcare district. The Biomedical Engineer shall be responsible for the installation, calibration, maintenance, and quality assurance of advanced medical imaging systems, patient monitoring devices, and surgical instrumentation housed at the Osaka facility. All services rendered under this Purchase Order must comply with the Japanese Medical Device Act (Act No. 179 of 1960, as amended) and the regulatory standards set forth by the Pharmaceuticals and Medical Devices Agency (PMDA) of Japan.

Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, specifically the Civil Code of Japan and the Commercial Code. Any disputes arising from this Purchase Order related to the Biomedical Engineer services in Japan Osaka shall be subject to the exclusive jurisdiction of the Osaka District Court.
  2. Qualification Requirements: The Biomedical Engineer assigned under this Purchase Order must hold a valid Japanese National Biomedical Engineer certification (Nihon Biomedical Engineer Kenkyu Ken) and possess a minimum of five (5) years of documented experience in hospital-grade medical device maintenance. The Biomedical Engineer must also demonstrate fluency in Japanese (JLPT N2 or above) to effectively communicate with hospital staff in the Japan Osaka region.
  3. Payment Terms: Payment for professional services shall be made on a monthly basis within thirty (30) days of invoice receipt. Equipment deliveries under this Purchase Order shall be paid within fifteen (15) days of confirmed delivery and acceptance at the Osaka facility. All payments shall be made in Japanese Yen (JPY) via bank transfer to the account specified by the supplier.
  4. Delivery and Acceptance: All physical equipment listed in this Purchase Order shall be delivered to the Osaka Metropolitan Medical Research Institute premises at 2-2-2 Nakazato, Nishi-ku, Osaka, Japan. The Biomedical Engineer shall be present at the time of delivery to oversee installation and initial calibration. Acceptance shall be confirmed in writing by the Director of Procurement within five (5) business days of delivery.
  5. Warranty and Liability: The supplier warrants that all equipment delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance. The Biomedical Engineer's professional services are warranted to be performed in a competent and workmanlike manner in accordance with industry best practices and Japanese regulatory standards.
  6. Confidentiality: The Biomedical Engineer shall be bound by a strict non-disclosure agreement covering all patient data, proprietary hospital systems, and institutional research information encountered during the course of service in Japan Osaka. Breach of confidentiality shall result in immediate termination of this Purchase Order and legal action under the Japanese Act on the Protection of Personal Information (APPI).
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach by the Biomedical Engineer or failure to meet the performance standards outlined herein, the purchasing party may terminate immediately upon written notice. All work completed prior to termination shall be invoiced and paid in accordance with the payment terms stated above.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (typhoons, earthquakes common to the Japan Osaka region), pandemics, government mandates, or acts of war.
  9. Compliance: The Biomedical Engineer and all associated services must comply with the Japanese Medical Device Act, PMDA regulations, IEC 62353 (Medical electrical equipment – General requirements for basic safety and essential performance), and all applicable local ordinances of Osaka City.
