- This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Supplier upon signature by both authorized representatives. All services described herein shall be performed exclusively within the Kazakhstan Almaty jurisdiction unless otherwise agreed in writing.
- The Supplier warrants that the Biomedical Engineer assigned to this contract shall hold a minimum of a Bachelor's degree in Biomedical Engineering or a closely related discipline, possess at least five (5) years of relevant professional experience in a hospital or clinical setting, and maintain valid professional certification recognized by the Republic of Kazakhstan.
- The Supplier shall ensure that the Biomedical Engineer is fully insured, including professional liability insurance with a minimum coverage of 50,000,000 KZT, and that all employment obligations under Kazakhstan labor law are met by the Supplier.
- Payment shall be made in Kazakhstani Tenge (KZT) within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated by the Civil Code of the Republic of Kazakhstan.
- The Purchasing Entity reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance KPIs, or non-compliance with Kazakhstan Almaty local health and safety regulations.
- All intellectual property, documentation, and data generated in the course of performing Biomedical Engineer services under this Purchase Order shall remain the exclusive property of Almaty Regional Medical Center, JSC.
- Confidentiality: The Supplier and the assigned Biomedical Engineer shall maintain strict confidentiality regarding patient data, hospital operational information, and proprietary equipment configurations encountered during service delivery in Kazakhstan Almaty.
- Disputes arising from this Purchase Order shall be resolved through negotiation, and failing that, through arbitration in Almaty, Kazakhstan, in accordance with the rules of the International Arbitration Center of the Astana International Financial Centre.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Kazakhstan.
