1. Purpose and Scope of This Purchase Order

This Purchase Order is issued by the Kenya Nairobi Provincial Health Authority to formally engage the services of a qualified Biomedical Engineer and associated technical resources for the maintenance, calibration, and operational support of medical diagnostic and therapeutic equipment across all public health facilities within the Kenya Nairobi metropolitan area. This Purchase Order constitutes a binding contractual agreement between the two parties and shall be governed by the laws of the Republic of Kenya, specifically the Public Procurement and Asset Disposal Act (2015) and its associated regulations.

2. Description of Services and Deliverables

3. Terms and Conditions
  1. Payment Terms: Payment for this Purchase Order shall be made in monthly installments within 30 days of receipt of a valid invoice from the supplier. All payments shall be processed through the Kenya Nairobi Provincial Health Authority's central treasury office via bank transfer to the supplier's designated account. No payment shall be due until the Biomedical Engineer team has submitted the monthly service report and the Authority has verified satisfactory performance.
  2. Performance Bond: The supplier shall provide a performance bond equivalent to 10% of the total Purchase Order value, issued by a Kenyan commercial bank, within 14 days of the signing of this document. The bond shall be released upon successful completion of the 12-month contract period.
  3. Qualification Requirements: The lead Biomedical Engineer must hold a minimum of a Bachelor's degree in Biomedical Engineering from a recognized Kenyan or international university, be registered with the Engineering Board of Kenya (EBK), and possess at least 8 years of post-qualification experience in hospital biomedical engineering. Junior engineers must hold a diploma or degree in Biomedical Engineering and be registered with the EBK.
  4. Compliance with Local Regulations: All services rendered under this Purchase Order in Kenya Nairobi shall comply with the Kenya Medical Devices and Equipment Regulations, the Occupational Safety and Health Act (2007), and all applicable standards set by the Kenya Bureau of Standards (KEBS). The Biomedical Engineer team shall ensure all equipment meets the required safety and performance benchmarks.
  5. Confidentiality and Data Protection: The supplier and all Biomedical Engineer personnel engaged under this Purchase Order shall comply with the Data Protection Act (2019) of Kenya. All patient data, equipment records, and operational information accessed in Kenya Nairobi facilities shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization from the Authority.
  6. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of material breach, the non-breaching party may terminate with 14 days' notice. Upon termination, the Biomedical Engineer team shall hand over all records, tools, and equipment to the Authority within 7 days.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be referred to arbitration in Nairobi, Kenya, in accordance with the Arbitration Act (1995) of Kenya. The seat of arbitration shall be Kenya Nairobi.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions affecting operations in Kenya Nairobi.
4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Biomedical Engineer services in Kenya Nairobi. This document is executed in two (2) original copies, one for each party.
