This Purchase Order is issued to formally request and authorize the engagement of a qualified Biomedical Engineer to provide comprehensive technical services at the facilities located in Mexico, Mexico City. The Biomedical Engineer shall be responsible for the following scope of work:

All services described in this Purchase Order shall be performed at the primary facility located at Av. Insurgentes Sur 1420, Col. Insurgentes Mixcoac, Mexico, Mexico City, and at the secondary research laboratory at Calle Reforma 285, Col. Juárez, Mexico, Mexico City. The Biomedical Engineer shall coordinate with the site safety officer prior to each visit. Access to restricted clinical areas in Mexico, Mexico City shall be granted only after the Biomedical Engineer completes the mandatory institutional safety induction and presents valid professional credentials registered with the Mexican Council of Biomedical Engineers (Consejo Mexicano de Ingenieros Biomédicos).

Payment for this Purchase Order shall be made in Mexican Pesos (MXN) via bank transfer to the account designated by the Biomedical Engineer. The payment schedule is as follows:

All invoices must reference this Purchase Order number (MXC-BME-2025-00472) and include a valid CFDI (Comprobante Fiscal Digital por Internet) tax document as required by the Mexican tax authority (SAT). Late payments shall accrue interest at the rate established by the Mexican Commercial Code.

  1. Qualifications: The Biomedical Engineer must hold a valid professional license issued in Mexico and demonstrate a minimum of eight (8) years of experience in biomedical device engineering, clinical engineering, or medical technology. Proof of registration with the relevant professional college in Mexico City shall be provided prior to commencement of work.
  2. Compliance: All work performed under this Purchase Order shall comply with Mexican federal regulations, including NOM-012-SSA1-2012 (medical devices), NOM-238-SSA1-2012 (biomedical equipment safety), and applicable COFEPRIS guidelines. The Biomedical Engineer is solely responsible for ensuring regulatory compliance in Mexico, Mexico City.
  3. Confidentiality: The Biomedical Engineer shall maintain strict confidentiality regarding all patient data, proprietary medical technology, and institutional information encountered during the performance of services in Mexico, Mexico City. A separate Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
  4. Insurance: The Biomedical Engineer shall maintain professional liability insurance with a minimum coverage of MXN 5,000,000.00 for the duration of this Purchase Order. A certificate of insurance shall be provided to the purchasing party before the first day of service.
  5. Subcontracting: The Biomedical Engineer shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the purchasing party. Any approved subcontractor operating in Mexico, Mexico City must meet the same qualification and compliance standards.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the purchasing party shall pay for all services rendered up to the termination date. The Biomedical Engineer shall deliver all work-in-progress documentation and materials to the purchasing party within fifteen (15) days of termination.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Mexican States, specifically the Federal Civil Code and the Commercial Code applicable in Mexico, Mexico City. Any disputes shall be resolved through arbitration in Mexico City in accordance with the rules of the Mexican Arbitration Center (Centro de Arbitraje de México).
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Mexico, Mexico City.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Biomedical Engineer to perform the specified services in Mexico, Mexico City. This document, together with all annexes and attachments, forms the complete agreement between the parties regarding the subject matter herein.
