- Scope of Engagement: The Biomedical Engineer engaged under this Purchase Order shall perform all duties exclusively at the buyer's facility in Morocco Casablanca unless prior written authorization is granted for off-site work within the Casablanca-Settat region.
- Regulatory Compliance: All services rendered by the Biomedical Engineer must comply with the laws and regulations of the Kingdom of Morocco, including but not limited to the Moroccan Public Health Code, the regulations of the Moroccan Ministry of Health regarding medical device maintenance, and the professional standards of the Moroccan Order of Engineers (Ordre des Ingénieurs du Maroc).
- Payment Schedule: Payment shall be made in monthly installments via bank transfer to the seller's account at Bank of Africa (BMCE), Casablanca branch, within 30 days of receipt of the monthly invoice. The total Purchase Order value of 783,000.00 MAD is subject to the terms outlined in Section 2.
- Performance Bond: The seller shall provide a performance bond equivalent to 10% of the total Purchase Order value (78,300.00 MAD) within 10 business days of the issue date, to be held by the buyer in Casablanca and released upon satisfactory completion of the 12-month contract period.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Biomedical Engineer's services shall be wound down in an orderly manner to ensure no disruption to patient care at the Casablanca facility.
- Confidentiality: The Biomedical Engineer shall maintain strict confidentiality regarding all patient data, proprietary hospital systems, and operational information encountered during the course of duties in Morocco Casablanca, in compliance with Moroccan data protection law (Law 09-08).
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be submitted to the competent commercial courts of Casablanca, Morocco.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Casablanca region.
The Biomedical Engineer shall report for duty at the Clinique Méditerranée de Casablanca facility, 45 Boulevard Mohammed V, Casablanca, Morocco, no later than 08:00 AM on 01 July 2025. All necessary work permits, professional registrations with the Moroccan Order of Engineers, and any required visas or residency documentation for the Biomedical Engineer shall be the responsibility of the seller. The buyer shall provide a dedicated workstation, access to all medical equipment rooms, and necessary safety equipment at the Casablanca site.
