- Payment Terms: 40% advance payment upon acceptance of this Purchase Order; 40% upon confirmed arrival and installation of the Biomedical Engineer and all equipment in Myanmar Yangon; 20% upon successful completion of the 30-day performance verification period.
- Delivery: All physical goods shall be delivered to the buyer's premises in Kamayut Township, Yangon, Myanmar. The Biomedical Engineer shall report for duty at the Myanmar Yangon facility no later than 01 August 2025. The seller is responsible for all international shipping, customs clearance in Myanmar, and local transport within Yangon.
- Warranty: All equipment carries a minimum 24-month manufacturer's warranty. The Biomedical Engineer's professional services are warranted for the full 12-month contract duration. Any equipment failure within the warranty period shall be repaired or replaced at no additional cost to the buyer.
- Regulatory Compliance: The Biomedical Engineer and all supplied equipment must comply with the regulations of the Myanmar Ministry of Health and Sports, the Myanmar Food and Drug Authority (MFDA), and applicable international standards including IEC 60601, ISO 13485, and ISO 9001. All necessary import permits for Myanmar Yangon shall be obtained by the seller prior to shipment.
- Intellectual Property: All training materials, maintenance logs, and compliance documentation generated during the engagement in Myanmar Yangon shall remain the property of the buyer.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Biomedical Engineer shall be provided a 30-day transition period to ensure continuity of biomedical device maintenance at the Myanmar Yangon facility.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Yangon, Myanmar, in accordance with the rules of the Myanmar Arbitration Centre. The governing law shall be the laws of the Union of Myanmar.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government sanctions, or other events beyond reasonable control, provided written notice is given within 7 days of the event.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Biomedical Engineer services and associated equipment for use in Myanmar Yangon.
