This Purchase Order is issued by the Nepal Institute of Medical Technology & Research for the procurement of specialized professional services rendered by a qualified Biomedical Engineer operating within the jurisdiction of Nepal Kathmandu. The services described herein are intended to support the institution's ongoing medical device calibration, hospital equipment maintenance, and biomedical research infrastructure development programs. - Scope of Work: The Biomedical Engineer shall perform all services in strict accordance with the technical specifications attached as Annexure A to this Purchase Order. Any deviation from the agreed scope must be approved in writing by the Buyer's Project Director prior to execution.
- Location of Performance: All services under this Purchase Order shall be rendered at the Buyer's premises located in Nepal Kathmandu, Baneshwor, or at such other sites within the Kathmandu Valley as mutually agreed upon. The Biomedical Engineer is responsible for all travel, transportation, and local logistics within Nepal Kathmandu.
- Qualifications and Compliance: The Biomedical Engineer shall hold a valid license issued by the Nepal Engineering Council and shall maintain professional indemnity insurance with a minimum coverage of NPR 10,000,000 for the duration of this Purchase Order. All work shall comply with the Standards and Specifications Act of Nepal and applicable Kathmandu municipal bylaws.
- Payment Schedule: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 50% upon completion of Items 1, 2, and 3, and the remaining 20% upon final delivery and acceptance of all deliverables including the compliance audit report. All payments shall be processed via bank transfer to the account specified by the Biomedical Engineer.
- Intellectual Property: All reports, designs, calibration records, and documentation produced under this Purchase Order shall become the exclusive property of the Buyer. The Biomedical Engineer shall not reproduce or distribute any such materials without prior written consent.
- Confidentiality: The Biomedical Engineer agrees to maintain strict confidentiality regarding all patient data, proprietary hospital systems, and institutional research information encountered during the performance of services in Nepal Kathmandu. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services satisfactorily completed up to the date of termination. The Biomedical Engineer shall return all institutional property and documentation within seven (7) days of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration in Nepal Kathmandu in accordance with the Arbitration Act, 1999 of Nepal. The language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal. The courts of Nepal Kathmandu shall have exclusive jurisdiction over any legal proceedings arising hereunder.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government actions, epidemics, or other events beyond reasonable control, provided that the affected party notifies the other within 48 hours of the occurrence.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Biomedical Engineer services in Nepal Kathmandu. This document constitutes a binding agreement effective from the date of the last signature.
