3. SCOPE OF WORK – BIOMEDICAL ENGINEER SERVICES

This Purchase Order is issued to procure the professional services of a qualified Biomedical Engineer to perform comprehensive maintenance, calibration, fault diagnosis, and regulatory compliance auditing of clinical medical equipment across all Auckland Regional Health Services facilities located in New Zealand Auckland. The Biomedical Engineer shall operate in accordance with the New Zealand Health and Disability Commissioner standards, the Ministry of Health Clinical Engineering guidelines, and all applicable New Zealand regulatory frameworks governing medical device safety and performance.

5. TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between Auckland Regional Health Services and Meridian Biomedical Solutions Ltd upon signature by both authorised representatives. All services described herein shall be performed by the named Biomedical Engineer or a suitably qualified substitute approved in writing by the Buyer.
  2. The Biomedical Engineer shall maintain valid professional indemnity insurance of no less than NZD $10,000,000 and public liability insurance of no less than NZD $20,000,000 for the duration of this engagement in New Zealand Auckland.
  3. All work shall be performed in compliance with the New Zealand Health and Safety at Work Act 2015, the New Zealand Privacy Act 2020, and the Medical Devices Regulations 2020. The Biomedical Engineer shall adhere to all site-specific safety protocols at each New Zealand Auckland facility.
  4. Payment shall be made within 30 calendar days of receipt of a valid tax invoice. Invoices must reference this Purchase Order number (PO-AKL-BME-2025-0472) and include the supplier's NZBN.
  5. The Biomedical Engineer shall submit a written progress report to the Buyer's Director of Clinical Engineering on the 15th of each month during the contract period, detailing completed tasks, outstanding items, and any equipment requiring immediate attention.
  6. Any variation to the scope of work must be approved in writing via a formal variation order to this Purchase Order. No additional charges will be accepted without prior written authorisation from the Buyer.
  7. The Biomedical Engineer shall maintain a complete log of all equipment serviced, calibrated, or repaired, including serial numbers, test results, and calibration certificates. These records shall be retained for a minimum of 7 years in accordance with New Zealand health records retention policy.
  8. This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this agreement shall be resolved through mediation in New Zealand Auckland before proceeding to the District Court of Auckland.
  9. The contract period for this Purchase Order shall commence on 1 July 2025 and conclude on 30 June 2026, unless terminated earlier in accordance with the termination clause. Either party may terminate with 30 days' written notice.
6. DELIVERY AND ACCEPTANCE

All services under this Purchase Order shall be delivered at the respective New Zealand Auckland facility locations specified in Section 4. Acceptance of completed work shall be confirmed in writing by the Buyer's site clinical engineering lead within 10 business days of completion. The Biomedical Engineer shall rectify any non-conformities identified during the acceptance period at no additional cost to the Buyer.
