Scope of Work and Key Responsibilities

This Purchase Order authorises the engagement of a suitably credentialed Biomedical Engineer to deliver comprehensive clinical engineering services at the Wellington Regional Hospital campus in New Zealand Wellington. The Biomedical Engineer shall be responsible for the full lifecycle management of all Class I through Class IV medical devices, including but not limited to preventive maintenance scheduling, fault diagnosis and repair, software updates, safety inspections, and the maintenance of a complete asset register. The Biomedical Engineer must hold current registration with Engineers New Zealand and demonstrate proficiency in the New Zealand Health and Safety at Work Act 2015 as it pertains to clinical environments. All work shall be conducted in strict adherence to the New Zealand Wellington regional health authority's internal policies and the national Medical Device Regulations administered by the Ministry of Health.

Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Wellington Health & Technology Services Ltd. (the "Buyer") and Apex Biomedical Consulting Group Ltd. (the "Supplier") upon written acceptance by both parties.
  2. The Biomedical Engineer engaged under this Purchase Order shall be deemed an independent contractor and not an employee of the Buyer, unless otherwise stipulated in a separate employment agreement.
  3. All services shall be performed at the designated facility located in New Zealand Wellington, and the Biomedical Engineer shall comply with all site-specific health, safety, and infection control protocols in force at the time of engagement.
  4. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier, in accordance with the payment terms stated in this Purchase Order.
  5. The Supplier warrants that the Biomedical Engineer assigned to this Purchase Order shall possess a minimum of eight (8) years of post-qualification experience in clinical biomedical engineering within a New Zealand hospital or equivalent tertiary healthcare setting.
  6. Any variation to the scope of work, additional services, or changes to the delivery schedule must be documented in a written variation order signed by both parties before work commences. No verbal instructions shall alter the terms of this Purchase Order.
  7. The Supplier shall maintain professional indemnity insurance of no less than NZD $5,000,000 and public liability insurance of no less than NZD $10,000,000 for the duration of this Purchase Order.
  8. All intellectual property, reports, and documentation generated by the Biomedical Engineer in the course of performing services under this Purchase Order shall remain the sole property of the Buyer.
  9. This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, and any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand Wellington.
  10. The Buyer reserves the right to terminate this Purchase Order with fourteen (14) days' written notice if the Biomedical Engineer fails to meet the performance standards outlined in the attached Service Level Agreement (SLA).
