This Purchase Order is issued by Lagos Medical Equipment & Engineering Solutions Ltd. (hereinafter referred to as the "Buyer") to Apex Biomedical Engineering & Consulting Services Ltd. (hereinafter referred to as the "Supplier") for the procurement of professional Biomedical Engineer services, specialized medical equipment calibration, and related technical support to be delivered and executed within the Nigeria Lagos metropolitan area. This Purchase Order constitutes a binding agreement between both parties upon signature and shall govern all terms, conditions, deliverables, and financial obligations associated with the engagement of the Biomedical Engineer and associated technical resources.

- This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with jurisdiction vested in the courts of Nigeria Lagos.
- The Biomedical Engineer engaged under this Purchase Order must hold a valid professional registration with the Nigerian Society of Engineers (NSE) and a current Practicing Certificate issued by the Council for the Regulation of Engineering in Nigeria (COREN).
- All equipment and services delivered under this Purchase Order must comply with the standards set by the National Agency for Food and Drug Administration and Control (NAFDAC), the Standards Organisation of Nigeria (SON), and the Federal Ministry of Health, Nigeria Lagos.
- Payment shall be made within thirty (30) calendar days from the date of invoice receipt, provided that all deliverables specified in this Purchase Order have been satisfactorily completed and inspected by the Buyer's quality assurance team in Nigeria Lagos.
- The Supplier warrants that the Biomedical Engineer and all associated personnel shall maintain full professional indemnity insurance coverage of not less than NGN 50,000,000 for the duration of this engagement.
- Delivery and installation of all equipment shall be completed at the Buyer's facility located in Victoria Island, Nigeria Lagos, no later than the delivery deadline stated above. Any delay shall attract a penalty of 0.5% of the total Purchase Order value per calendar day of delay.
- The Biomedical Engineer shall provide a comprehensive written report detailing all calibration results, maintenance activities, and recommendations within five (5) business days of each scheduled service visit in Nigeria Lagos.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No verbal modifications shall be valid.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Nigeria Lagos before resorting to litigation.
- All intellectual property, documentation, and data generated during the course of this engagement shall remain the property of the Buyer, and the Biomedical Engineer shall not disclose any confidential information to third parties.
