- Scope of Engagement: This Purchase Order authorizes the Supplier to provide the Biomedical Engineer personnel and associated services as described in Section 2. All Biomedical Engineer staff assigned under this Purchase Order must hold valid professional licenses issued by the Qatar Council for Healthcare Practitioners (QCHP) and must possess a minimum of a Bachelor's degree in Biomedical Engineering or an equivalent discipline recognized by the State of Qatar.
- Place of Performance: All services under this Purchase Order shall be rendered at the designated hospital facilities located in Qatar Doha. The Supplier is responsible for arranging local transportation, work permits, and any necessary visas for the Biomedical Engineer personnel in accordance with Qatar Doha immigration and labor regulations.
- Contract Duration: This Purchase Order is valid for a period of twelve (12) months commencing on 01 August 2025 and expiring on 31 July 2026, unless terminated earlier in accordance with Clause 7. Renewal shall be subject to mutual written agreement and a separate Purchase Order.
- Payment Terms: Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (HMC-PO-2025-04871) and include a detailed timesheet signed by the Buyer's site supervisor. Payment shall be processed via bank transfer to the Supplier's designated account in Qatar Doha.
- Quality and Compliance: The Supplier warrants that all Biomedical Engineer services shall be performed in strict compliance with ISO 13485:2016, IEC 62366, and all applicable regulations of the Qatar Ministry of Public Health. The Buyer reserves the right to conduct unannounced quality audits at any facility in Qatar Doha where services are being delivered.
- Confidentiality and Data Protection: The Supplier and all Biomedical Engineer personnel shall maintain strict confidentiality regarding patient data, hospital operational information, and proprietary equipment configurations. All data handling shall comply with Qatar's Personal Data Protection Law (Law No. 13 of 2016).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations up to the date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in Doha, Qatar, in accordance with the rules of the Qatar International Arbitration Centre (QIAC). The governing law shall be the laws of the State of Qatar.
- Insurance and Liability: The Supplier shall maintain professional indemnity insurance with a minimum coverage of QAR 2,000,000 and workers' compensation insurance for all Biomedical Engineer staff. The Supplier shall be liable for any damage to medical equipment or injury to personnel resulting from negligence in the performance of services in Qatar Doha.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Qatar Doha.
