3.1 Payment Terms: Payment for this Purchase Order shall be made in United States Dollars (USD) via international wire transfer to the account designated by the Supplier. A 30% advance payment is due upon execution of this Purchase Order. The remaining 70% shall be paid in three equal quarterly installments, due on the 5th business day of October 2025, January 2026, and April 2026, respectively. All payments are subject to the foreign exchange regulations of the Central Bank of the Russian Federation as applicable to transactions conducted in Russia Moscow.
3.2 Delivery and Service Location: All physical goods specified in this Purchase Order shall be delivered to the Moscow Regional Medical Research Institute premises at 12 Lesnaya Polyana Street, Russia Moscow, 119021. The Biomedical Engineer shall be physically present at the Russia Moscow facility for a minimum of five (5) working days per week throughout the contract period. All equipment and materials must comply with the technical regulations of the Eurasian Economic Union (EAEU) and the specific medical device registration requirements of Roszdravnadzor for operation within Russia Moscow.
3.3 Regulatory Compliance: The Biomedical Engineer engaged under this Purchase Order must hold valid certification recognized by the Russian Ministry of Health and demonstrate proficiency in the Russian language at a minimum B2 level to ensure effective communication with local medical staff in Russia Moscow. All work performed must adhere to GOST R 50444-2009, IEC 62353, and applicable Russian federal laws governing biomedical engineering practices in the healthcare sector.
3.4 Intellectual Property: All proprietary methods, calibration data, and engineering documentation produced by the Biomedical Engineer during the term of this Purchase Order shall remain the exclusive property of the Moscow Regional Medical Research Institute. The Supplier grants a non-exclusive, non-transferable license for the use of any pre-existing intellectual property incorporated into the deliverables.
3.5 Warranties and Liability: The Supplier warrants that the Biomedical Engineer shall perform all services with the degree of skill, care, and diligence expected of a qualified professional in the biomedical engineering field. All equipment delivered under this Purchase Order carries a minimum 24-month warranty from the date of delivery to Russia Moscow. The Supplier's total liability under this Purchase Order shall not exceed the total contract value of USD 352,500.00.
3.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Biomedical Engineer shall complete all in-progress calibration and maintenance tasks at the Russia Moscow facility and provide a comprehensive handover report to the Purchasing Party within fifteen (15) business days of the termination effective date.
3.7 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Moscow, Russia, in accordance with the rules of the International Commercial Arbitration Court at the Chamber of Commerce and Industry of Russia. The language of arbitration shall be English.
3.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, epidemics, or restrictions on international travel affecting the Biomedical Engineer's ability to access the Russia Moscow facility.
