3. Description of Purchase — Biomedical Engineer Services

This Purchase Order is issued by the Northwestern Medical Research & Clinical Institute to formally request and authorize the procurement of specialized Biomedical Engineer professional services to be rendered at the institute's primary facility located in Russia Saint Petersburg. The engagement of a qualified Biomedical Engineer is necessary to oversee the installation, calibration, maintenance, and regulatory compliance of advanced diagnostic and therapeutic medical equipment across all clinical departments. The Biomedical Engineer shall operate in full accordance with the Federal Law of the Russian Federation on Healthcare, GOST R standards, and the specific technical requirements outlined in the attached Statement of Work (SOW-2025-04871).

5. Terms and Conditions
  1. Scope of Work: The Biomedical Engineer engaged under this Purchase Order shall perform all duties at the buyer's facility in Russia Saint Petersburg and shall not be reassigned to any other location without prior written consent from the Director of Clinical Engineering.
  2. Qualifications: The Biomedical Engineer must hold a minimum of a Master's degree in Biomedical Engineering from an accredited Russian or internationally recognized university, possess a valid professional license issued by the Russian Ministry of Health, and demonstrate a minimum of seven (7) years of hands-on experience in clinical medical device engineering.
  3. Commencement Date: Services shall commence on 1 July 2025 and continue for a period of twelve (12) months, subject to renewal by mutual written agreement. The Biomedical Engineer is expected to be fully operational at the Russia Saint Petersburg site no later than 1 July 2025.
  4. Payment Terms: Payment shall be made in quarterly installments within thirty (30) calendar days of receipt of a valid invoice. The first installment of 1,107,750 RUB (including VAT) is due upon successful onboarding of the Biomedical Engineer. All payments shall be transferred via bank wire to the supplier's account as specified in Section 2 of this Purchase Order.
  5. Performance Standards: The Biomedical Engineer shall maintain a minimum equipment uptime of 98.5% across all managed devices. Failure to meet this threshold for two consecutive months shall constitute a material breach of this Purchase Order.
  6. Confidentiality: All patient data, proprietary medical device configurations, and institutional research information encountered by the Biomedical Engineer during the course of work in Russia Saint Petersburg shall be treated as strictly confidential and shall not be disclosed to any third party.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Biomedical Engineer shall complete all in-progress maintenance tasks and deliver a comprehensive handover report within fifteen (15) days of the termination effective date.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation. Any disputes arising from this agreement shall be resolved through arbitration in Russia Saint Petersburg in accordance with the rules of the Arbitration Court of Saint Petersburg and Leningrad Oblast.
  9. Compliance: The supplier warrants that the Biomedical Engineer and all supporting personnel shall comply with all applicable federal and regional regulations of the Russian Federation, including but not limited to labor law, data protection law (Federal Law No. 152-FZ), and medical device safety standards.
6. Acceptance & Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Biomedical Engineer at the facility in Russia Saint Petersburg. This document constitutes a binding commercial agreement effective upon execution by both authorized representatives.
