This Purchase Order is issued by MedTech Solutions (Pty) Ltd to formally engage the services of a qualified Biomedical Engineer for the comprehensive maintenance, calibration, and compliance auditing of all medical and diagnostic equipment housed at our primary facility located in South Africa Johannesburg, specifically at the MedTech Solutions Clinical Centre, 142 Rivonia Road, Sandton. The engagement of this Biomedical Engineer is critical to ensuring that all patient-facing equipment operates within the safety and performance parameters mandated by the South African Health Products Regulatory Authority (SAHPRA) and the National Health Act (Act No. 61 of 2003).
The Biomedical Engineer contracted under this Purchase Order shall be responsible for the following scope of work, to be performed at the South Africa Johannesburg facility and any satellite clinics within a 50-kilometre radius of the Sandton business district:

- This Purchase Order constitutes a binding agreement between MedTech Solutions (Pty) Ltd and the contracted Biomedical Engineer upon signature by both parties. All services shall be rendered in accordance with the South African National Standards (SANS) for biomedical equipment maintenance.
- The Biomedical Engineer shall hold a valid HPCSA professional registration and a current Practising Certificate throughout the duration of this engagement. Failure to maintain valid registration shall constitute grounds for immediate termination of this Purchase Order.
- All work shall be performed at the South Africa Johannesburg facility unless otherwise agreed in writing. The Biomedical Engineer shall comply with all site safety protocols, infection control procedures, and data protection requirements as stipulated by the Protection of Personal Information Act (POPIA) of South Africa.
- Payment shall be made within 30 days of receipt of a valid tax invoice. The Biomedical Engineer shall submit progress invoices at the 25%, 50%, 75%, and 100% completion milestones of the scope outlined in this Purchase Order.
- The Biomedical Engineer shall provide a 12-month warranty on all repairs and installations performed under this Purchase Order. Any equipment that fails within the warranty period shall be repaired at no additional cost to MedTech Solutions (Pty) Ltd.
- All intellectual property, calibration data, and compliance records generated during the course of this engagement shall remain the property of MedTech Solutions (Pty) Ltd. The Biomedical Engineer shall transfer all documentation upon completion of services at the South Africa Johannesburg site.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Johannesburg, Gauteng, South Africa, in accordance with the Arbitration Act (Act No. 42 of 1965).
- This Purchase Order is governed by the laws of the Republic of South Africa. The courts of the Gauteng High Court, Johannesburg, shall have exclusive jurisdiction over any matters arising from this document.
- The Biomedical Engineer shall maintain professional indemnity insurance with a minimum cover of R 5,000,000.00 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding scope, pricing, or timelines shall not be binding.
Services under this Purchase Order shall commence on 1 July 2025 and are expected to be completed by 30 September 2025. The Biomedical Engineer shall submit a detailed project timeline within 5 business days of the commencement date. All on-site work at the South Africa Johannesburg facility shall be scheduled in coordination with the hospital's clinical operations team to minimise disruption to patient care.
