This Purchase Order authorizes the engagement of a qualified Biomedical Engineer to provide comprehensive technical services to the Complejo Hospitalario Universitario de Madrid. All services under this Purchase Order shall be performed exclusively at the hospital premises and associated clinical facilities of the Complejo Hospitalario Universitario de Madrid, situated in the municipality of Madrid, Community of Madrid, Spain. The Biomedical Engineer shall report to the Clinical Engineering Division office on the third floor of the main hospital building. Any off-site activities, including procurement of replacement parts or attendance at manufacturer training centres, must be pre-authorised in writing by the Buyer and shall remain within the national territory of Spain unless otherwise agreed.
- Payment shall be made by direct bank transfer (SEPA) to the IBAN specified in Section 2 within 30 calendar days from the date of receipt of a valid invoice.
- Invoices must reference this Purchase Order number (PO-2025-MAD-BME-0472) and include the supplier's CIF, the applicable Spanish VAT (IVA) rate, and a detailed breakdown of services rendered.
- Monthly progress payments for the on-site Biomedical Engineer engagement (Line Item 01) shall be invoiced on the last working day of each calendar month.
- Late payments shall accrue interest at the rate established by the Spanish Law 3/2004 on the fight against late payment in commercial transactions.
- 7.1 This Purchase Order is governed by the laws of the Kingdom of Spain. Any disputes arising from its interpretation or execution shall be submitted to the competent courts of Madrid, Spain.
- 7.2 The Biomedical Engineer engaged under this Purchase Order must hold a valid professional registration with the relevant Spanish engineering college and maintain professional liability insurance with a minimum coverage of EUR 1,000,000 per claim.
- 7.3 The supplier warrants that all services will comply with the Spanish General Health Law (Ley 14/1986), the Royal Decree 1591/1997, and all applicable EU directives and regulations pertaining to medical devices and clinical engineering in Spain.
- 7.4 The Buyer reserves the right to terminate this Purchase Order with 30 days' written notice in the event of material breach, non-performance, or insolvency of the supplier.
- 7.5 All intellectual property, technical reports, and documentation generated during the execution of this Purchase Order shall remain the exclusive property of the Buyer.
- 7.6 The supplier shall comply with all applicable Spanish data protection regulations, including the Organic Law 3/2018 (LOPDGDD) and the EU General Data Protection Regulation (GDPR), when handling any patient-related or hospital operational data.
- 7.7 Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures in Madrid, Spain, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within 48 hours.
