This Purchase Order is issued by the Buyer to formally request and authorize the engagement of a qualified Biomedical Engineer to perform the professional services described below within the jurisdiction of Spain Valencia. The Biomedical Engineer shall comply with all applicable regulations of the Spanish Ministry of Health, the Generalitat Valenciana, and the professional code of the Col·legi Oficial d’Enginyers Biomédics (COIB). All deliverables and on-site work shall be executed at the Buyer’s facilities located in Valencia, Spain, unless otherwise agreed in writing.

All services under this Purchase Order shall commence on 1 July 2025 and be completed no later than 31 December 2025. The Biomedical Engineer shall coordinate all on-site activities with the Hospital’s Biomedical Engineering Department, located in Valencia, Spain. Any schedule deviation exceeding five (5) business days must be reported in writing to the Buyer’s Procurement Department within 48 hours of identification.
Payment shall be made in Euros (EUR) via bank transfer to the account designated by the Biomedical Engineer. Invoices are due within thirty (30) calendar days from the date of receipt of a valid invoice, in accordance with Spanish Law 3/2004 on measures to combat late payment in commercial transactions. A 10% retention shall be withheld from each interim payment and released upon final acceptance of all deliverables. Late payments shall accrue interest at the European Central Bank reference rate plus eight (8) percentage points, as stipulated by Spanish legislation.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Courts and Tribunals of Valencia, Spain, unless mandatory EU regulations provide otherwise.
- Professional Qualification: The Biomedical Engineer warrants that she holds a valid degree in Biomedical Engineering (Ingeniería Biomédica) recognised by the Spanish Ministry of Universities, is registered with the Col·legi Oficial d’Enginyers Biomédics, and maintains current professional liability insurance with a minimum coverage of €1,000,000 per claim, valid throughout the territory of Spain.
- Confidentiality and Data Protection: All patient data, hospital protocols, and proprietary information accessed during the performance of this Purchase Order shall be treated as strictly confidential. The Biomedical Engineer shall comply fully with the Spanish Organic Law 3/2018 on Personal Data Protection and the General Data Protection Regulation (EU) 2016/679.
- Intellectual Property: All reports, risk-management programmes, training materials, and technical documentation produced specifically for the Buyer under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Biomedical Engineer retains the right to use generic methodologies and pre-existing knowledge not derived from the Buyer’s confidential information.
- Health and Safety: The Biomedical Engineer shall comply with all occupational health and safety regulations applicable in the Spain Valencia region, including Royal Decree 39/1997 on minimum safety and health requirements in workplaces, and shall wear appropriate personal protective equipment during all on-site activities.
- Warranty: All calibration, maintenance, and acceptance-testing services shall carry a minimum warranty period of twelve (12) months from the date of completion. Any defect attributable to the Biomedical Engineer’s workmanship shall be rectified at no additional cost to the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination for convenience by the Buyer, the Biomedical Engineer shall be compensated for all services rendered and non-cancellable expenses incurred up to the effective date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the Valencia region, Spain.
By signing below, the Buyer authorises the issuance of this Purchase Order and the Biomedical Engineer accepts the terms, conditions, and scope of work described herein. This document constitutes a binding agreement for the provision of professional Biomedical Engineer services in the Spain Valencia region, effective from the date of the last signature.
