1. This Purchase Order is governed by the laws of the United Arab Emirates and specifically the commercial regulations applicable in Abu Dhabi. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates Abu Dhabi.
2. The Biomedical Engineer engaged under this Purchase Order must hold a valid professional license issued by the Department of Health – Abu Dhabi (DoH-AD) and must possess a minimum of eight (8) years of documented experience in biomedical engineering within the United Arab Emirates or equivalent international healthcare environments.
3. The Biomedical Engineer shall comply with all data protection requirements under the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, particularly when accessing patient-related equipment records in United Arab Emirates Abu Dhabi facilities.
4. All services described in this Purchase Order must be performed in strict adherence to the Abu Dhabi Quality and Accreditation Center (AQAC) standards and the ISO 13485:2016 medical device quality management system requirements.
5. The supplier shall provide a comprehensive service level agreement (SLA) specifying response times, resolution times, and performance metrics. Failure to meet the SLA thresholds outlined in the attached Schedule B shall result in a 5% penalty per incident, deducted from the total Purchase Order value.
6. Payment shall be processed via bank transfer to the supplier's designated account in the United Arab Emirates Abu Dhabi. Invoices must reference this Purchase Order number (PO-2025-ABH-0472) and include the supplier's valid Tax Registration Number (TRN) as per UAE Federal Tax Authority requirements.
7. The Biomedical Engineer shall maintain professional indemnity insurance with a minimum coverage of AED 2,000,000, valid throughout the duration of this Purchase Order, and shall provide a certificate of insurance prior to commencing any work in United Arab Emirates Abu Dhabi.
8. This Purchase Order may be amended only by mutual written agreement between both parties. Any verbal modifications shall be deemed null and void under United Arab Emirates commercial law.
