This Purchase Order is issued to engage the services of a qualified Biomedical Engineer to perform the following professional duties within the operational premises of the Buyer located in United Kingdom London. The Biomedical Engineer shall be responsible for the design, validation, and regulatory compliance of medical device systems used in the Buyer's diagnostic laboratory and clinical trial facilities.

Payment for this Purchase Order shall be made in accordance with the following schedule. All payments shall be processed via BACS bank transfer to the account designated by the Biomedical Engineer. The Buyer shall issue a VAT-compliant invoice upon completion of each milestone.

- This Purchase Order is governed by the laws of England and Wales, with jurisdiction vested in the courts of United Kingdom London. Any disputes arising from this Purchase Order shall be resolved in accordance with the Commercial Courts Practice Direction.
- The Biomedical Engineer shall maintain valid professional indemnity insurance with a minimum cover of £5,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
- All work performed under this Purchase Order shall comply with the UK Medical Devices Regulations 2002 (as amended), the UKCA marking requirements, and applicable British Standards (BS EN) referenced in the scope of work.
- The Biomedical Engineer shall adhere to all health and safety regulations applicable to the workplace in United Kingdom London, including the Management of Health and Safety at Work Regulations 1999.
- Intellectual property developed specifically for the Buyer under this Purchase Order shall vest in the Buyer upon full payment. The Biomedical Engineer retains ownership of pre-existing methodologies and general engineering knowledge.
- Confidentiality obligations shall survive termination of this Purchase Order for a period of five (5) years, in accordance with the UK Data Protection Act 2018 and the UK GDPR.
- The Biomedical Engineer shall not subcontract any portion of the work without prior written consent from the Buyer's Chief Procurement Officer.
- Delivery of all deliverables shall be made to the Buyer's premises at 42 Regent Street, United Kingdom London, W1B 5AH, unless otherwise agreed in writing.
- Failure to meet the required delivery date of 01 September 2025 without written extension approved by the Buyer shall entitle the Buyer to liquidated damages of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
