2. SCOPE AND DELIVERABLESThe Biomedical Engineer engaged under this Purchase Order shall perform all duties in accordance with the professional standards established by the Biomedical Engineering Society (BMES) and the American Society for Engineering Education (ABET). All work shall be conducted at the designated United States Chicago facilities listed in Appendix A of this Purchase Order. The Biomedical Engineer is expected to maintain current certification through the American Board of Biomedical Research Engineering (ABBRE) or equivalent credentialing body recognized in the United States. Deliverables shall include, but are not limited to: completed calibration reports, risk assessment documentation, equipment service logs, regulatory compliance certificates, and a final project summary report submitted to the MedTech Solutions Group procurement office in United States Chicago within ten (10) business days of engagement completion.
3. TERMS AND CONDITIONS- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois and applicable federal regulations of the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
- Payment: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices must reference Purchase Order number PO-2025-04872 and be submitted to the accounts payable department at MedTech Solutions Group, Inc., 1480 South Dearborn Street, United States Chicago, IL 60605. Late payments shall accrue interest at a rate of 1.5% per month.
- Insurance: The Biomedical Engineer and the vendor entity shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate, as well as workers' compensation insurance compliant with Illinois state law. Certificates of insurance shall be provided prior to commencement of services.
- Confidentiality: All patient data, proprietary medical device information, and institutional records accessed by the Biomedical Engineer during the course of this engagement are strictly confidential. The Biomedical Engineer shall sign a Non-Disclosure Agreement (NDA) prior to accessing any United States Chicago facility or patient information system.
- Compliance: The Biomedical Engineer shall comply with all applicable United States federal regulations, including but not limited to FDA 21 CFR Parts 801–899, HIPAA privacy and security rules, OSHA workplace safety standards, and Illinois Department of Public Health licensing requirements for biomedical engineering practice in the state.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biomedical Engineer shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress documentation shall be delivered to MedTech Solutions Group in United States Chicago.
- Warranty: All services performed by the Biomedical Engineer under this Purchase Order carry a warranty period of twelve (12) months from the date of completion. Any defects in service or non-conformance to specifications identified within this period shall be remediated at no additional cost to the buyer.
- Intellectual Property: All reports, designs, software configurations, and documentation created specifically for MedTech Solutions Group under this Purchase Order shall be the sole property of MedTech Solutions Group, Inc. The Biomedical Engineer retains no rights to reproduce or distribute such materials without written consent.
By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Biomedical Engineer in United States Chicago. This document constitutes a binding agreement effective as of the date of the last signature.
