This Purchase Order is issued by the Pacific Coast Medical Research Institute (hereinafter referred to as "the Purchaser") to engage the services of a qualified Biomedical Engineer for the design, validation, and regulatory compliance of next-generation diagnostic imaging equipment. The Biomedical Engineer shall perform all professional services within the jurisdiction of United States Los Angeles, in full compliance with the California Board of Medical Quality Assurance, the U.S. Food and Drug Administration (FDA) 21 CFR Part 820, and all applicable municipal regulations governing biomedical device engineering in the United States Los Angeles metropolitan area.

3.1 This Purchase Order constitutes a binding agreement between the Purchaser and the contracted Biomedical Engineer upon signature by both parties. All services shall be rendered in accordance with the professional standards established by the American Institute of Medical and Biological Engineering (AIMBE) and the California Professional Engineers Law (BPC Section 6700 et seq.).
3.2 The Biomedical Engineer shall maintain current professional licensure as a Professional Engineer (PE) in the State of California and shall provide proof of licensure and professional liability insurance (minimum $2,000,000 per occurrence) prior to commencing any work under this Purchase Order.
3.3 All deliverables, technical documentation, design files, and intellectual property generated under this Purchase Order shall become the sole property of the Purchaser upon full payment. The Biomedical Engineer shall not reproduce, distribute, or license any such materials to third parties without written consent.
3.4 The Biomedical Engineer shall comply with all applicable federal, state, and local regulations within United States Los Angeles, including but not limited to the Los Angeles Municipal Code Title 17 (Public Health), California Health and Safety Code, and all FDA guidance documents pertaining to Class II medical devices.
3.5 Payment shall be issued within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month as permitted under California Commercial Code Section 2304. Invoices shall be submitted to the Purchaser's Accounts Payable department at the address listed in Section 1 of this Purchase Order.
3.6 The Biomedical Engineer shall provide weekly progress reports to the Purchaser's project management team. Any anticipated delays exceeding five (5) business days must be communicated in writing within 48 hours of identification.
3.7 This Purchase Order shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising hereunder shall be subject to exclusive jurisdiction of the state or federal courts located in Los Angeles County, United States Los Angeles.
3.8 The Purchaser reserves the right to terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biomedical Engineer shall be compensated for all services rendered and documented deliverables completed through the effective date of termination.
By signing below, both parties acknowledge that this Purchase Order for Biomedical Engineer professional services in United States Los Angeles has been reviewed, understood, and accepted in its entirety. The Biomedical Engineer confirms availability to commence work no later than the date specified in Section 1 and agrees to all terms outlined herein.
