TERMS AND CONDITIONS
  1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the vendor. The vendor must return a signed copy of this Purchase Order within five (5) business days of receipt to confirm acceptance of all terms, conditions, and the scope of Biomedical Engineer services described herein.
  2. Performance Period: The Biomedical Engineer shall commence services no later than July 1, 2025, and shall complete all deliverables by December 15, 2025, unless otherwise extended in writing by mutual agreement of both parties.
  3. Work Location: All on-site services shall be performed at the issuing entity's primary facility located in United States Miami, Florida, and at such other United States Miami clinical partner sites as may be designated in writing by the project manager.
  4. Payment Terms: Net 30 days from the date of invoice. Invoices shall be submitted monthly in arrears. Late payments shall accrue interest at a rate of 1.5% per month. Payment shall be made via ACH transfer to the vendor's designated bank account in United States Miami.
  5. Qualifications: The Biomedical Engineer assigned to this Purchase Order must hold a minimum of a Master's degree in Biomedical Engineering or a closely related field, possess at least eight (8) years of professional experience in medical device development, and maintain current certification from the American Society for Engineering Education (ASEE) or equivalent body.
  6. Confidentiality: The Biomedical Engineer and the vendor shall maintain strict confidentiality of all proprietary information, patient data, and trade secrets encountered during the performance of services under this Purchase Order. A separate Non-Disclosure Agreement (NDA) is incorporated by reference.
  7. Compliance: All services shall comply with applicable federal and state regulations, including but not limited to FDA 21 CFR Parts 820 (Quality System Regulation), HIPAA privacy standards, and Florida state medical device regulations governing operations in United States Miami.
  8. Insurance: The vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in aggregate, naming South Florida Medical Technology Group, Inc. as an additional insured.
  9. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all services rendered and documented through the date of termination.
  10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States Miami jurisdiction. Any disputes shall be resolved through binding arbitration in United States Miami, Florida.
  11. Change Orders: Any modifications to the scope, schedule, or pricing of Biomedical Engineer services must be documented in a written Change Order signed by authorized representatives of both parties before additional work commences.
