This Purchase Order is issued by Golden Gate Medical Devices, Inc. to procure the professional services of a qualified Biomedical Engineer to support the design, validation, and regulatory compliance of next-generation cardiac monitoring devices. 4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon full execution by both parties. All services described herein shall be performed by a licensed and qualified Biomedical Engineer holding a valid California Professional Engineer (PE) license in the field of Biomedical Engineering, issued by the California Board for Professional Engineers, Land Surveyors, and Geologists.
4.2 The Supplier warrants that the Biomedical Engineer assigned to this Purchase Order shall possess a minimum of eight (8) years of progressive experience in medical device design, regulatory affairs, and clinical engineering within the United States. The Biomedical Engineer shall maintain all necessary professional certifications throughout the duration of this engagement.
4.3 All work shall be performed at the Buyer's facility located in United States San Francisco, California, or at such other locations within the San Francisco Bay Area as mutually agreed upon in writing. The Supplier shall comply with all local ordinances, building codes, and occupational safety regulations applicable to United States San Francisco.
4.4 The Supplier shall submit detailed invoices on a bi-weekly basis, itemizing hours worked by each Biomedical Engineer assigned, along with supporting timesheets and deliverable documentation. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice.
4.5 All intellectual property, design documents, test data, and proprietary information generated in the course of performing services under this Purchase Order shall be the sole property of the Buyer. The Biomedical Engineer and the Supplier shall execute a non-disclosure agreement (NDA) prior to commencing any work.
4.6 The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in aggregate, naming the Buyer as an additional insured. Certificates of insurance shall be provided prior to the start date.
4.7 This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States San Francisco, California, in accordance with the rules of the American Arbitration Association.
4.8 The Buyer reserves the right to terminate this Purchase Order with fourteen (14) days written notice in the event of material breach, failure to meet performance milestones, or insolvency of the Supplier. Upon termination, the Supplier shall be compensated for all services rendered and documented through the date of termination.
This Purchase Order is authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges that it has read, understood, and agrees to all terms, conditions, and specifications set forth in this document regarding the procurement of Biomedical Engineer professional services in United States San Francisco.
