1. Description of Procurement – Biomedical Engineer Services

This Purchase Order is issued by Hospital Universitario Dr. Luis Razetti, located in Venezuela Caracas, to formally request and authorize the engagement of a qualified Biomedical Engineer to provide comprehensive technical support, maintenance, calibration, and clinical engineering services across all biomedical equipment departments within the facility. The Biomedical Engineer shall be responsible for ensuring that all diagnostic, therapeutic, and monitoring devices operate in full compliance with the regulatory standards established by the Instituto Nacional de Alimentos y Medicamentos (INSM) and the applicable Venezuelan health regulations governing medical device management in Venezuela Caracas.

2. Scope of Services

The contracted Biomedical Engineer shall perform the following duties as part of this Purchase Order:

Payment shall be made in monthly installments of USD $5,216.67, due on the 5th business day of each month via bank transfer to the account designated by Ingeniería Biomédica del Caribe, C.A. All payments are subject to the terms outlined in this Purchase Order and the master service agreement previously executed between both parties in Venezuela Caracas.

4. Terms and Conditions
  1. This Purchase Order is valid for a period of twelve (12) months commencing July 1, 2025, and expiring June 30, 2026, unless renewed in writing by both parties.
  2. The Biomedical Engineer assigned to this contract must hold a valid professional license issued by the Colegio de Ingenieros de Venezuela and possess a minimum of five (5) years of documented experience in clinical biomedical engineering within a hospital setting in Venezuela Caracas or equivalent.
  3. The Biomedical Engineer shall comply with all occupational health and safety regulations applicable in Venezuela Caracas, including but not limited to radiation safety protocols, biohazard handling procedures, and electrical safety standards.
  4. Any modification to the scope, duration, or financial terms of this Purchase Order must be documented in a formal amendment signed by authorized representatives of both parties.
  5. The supplier shall maintain professional liability insurance with a minimum coverage of USD $1,000,000, valid throughout the contract term in Venezuela Caracas.
  6. Confidentiality: All patient data, hospital operational information, and proprietary equipment specifications accessed by the Biomedical Engineer shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization from the hospital administration.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biomedical Engineer shall complete all in-progress maintenance tasks and deliver a comprehensive handover report within fifteen (15) days of the termination date.
  8. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this agreement shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje de la Cámara de Comercio de Caracas.
  9. The Biomedical Engineer shall submit a detailed monthly activity report to the hospital's Clinical Engineering Director no later than the 3rd business day of the following month, documenting all interventions, calibrations, and equipment status updates performed during the reporting period.
5. Acceptance and Authorization

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Biomedical Engineer to serve the biomedical equipment needs of the hospital facility located in Venezuela Caracas.
