1. - Qualification Requirement: The Biomedical Engineer assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Biomedical Engineering or a related field, possess at least five (5) years of professional experience in clinical engineering, and maintain valid professional licensure recognized by the Vietnam Ministry of Health and the Vietnam Ho Chi Minh City Department of Science and Technology.
- Place of Performance: All services, equipment installation, calibration activities, and training sessions under this Purchase Order shall be conducted exclusively at the buyer's premises located in Vietnam Ho Chi Minh City, or at such other locations within the city as mutually agreed in writing by both parties.
- Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the equipment calibration and workstation installation milestones, and 30% upon successful completion of the regulatory compliance audit. All payments shall be processed via bank transfer to the supplier's designated account in Vietnam Ho Chi Minh City.
- Warranty and Support: The supplier warrants that the Biomedical Engineer shall provide a minimum of 99% equipment uptime for all devices under maintenance. Any failure to meet this threshold shall entitle the buyer to a service credit of 2% of the monthly fee for each percentage point below 99%.
- Confidentiality: The Biomedical Engineer and all personnel associated with this Purchase Order shall maintain strict confidentiality regarding patient data, proprietary medical device configurations, and internal operational procedures of the buyer's facility in Vietnam Ho Chi Minh City.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered and materials delivered up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, with jurisdiction vested in the competent courts of Vietnam Ho Chi Minh City.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Vietnam Ho Chi Minh City, or international trade restrictions.
