1. Scope and Deliverables: The Business Consultant shall perform all services described in this Purchase Order with professional diligence, in full compliance with Algerian professional standards. All deliverables, reports, and advisory outputs shall be submitted in both Arabic and French, as required by the regulatory environment in Algeria Algiers.
2. Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of the mid-term deliverables, and 30% upon final acceptance of all services. All payments shall be processed via bank transfer to the Business Consultant's designated account in Algeria Algiers.
3. Site Access: The Business Consultant shall have access to the purchasing entity's premises located in Algeria Algiers during standard business hours (08:00–17:00, Sunday to Thursday) for the purpose of conducting on-site assessments, meetings, and training sessions.
4. Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of the purchasing entity. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
5. Intellectual Property: All reports, analyses, strategic plans, and deliverables produced by the Business Consultant under this Purchase Order shall become the exclusive property of Sahara Enterprise Solutions SARL upon full payment.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the date of termination.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Algeria Algiers.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Algeria Algiers.
