This Purchase Order is issued by Meridian Strategic Holdings Pty Ltd to engage the named Business Consultant, David R. Ashworth, operating through Ashworth Advisory & Consulting Services Pty Ltd, to deliver a comprehensive strategic advisory engagement. The Business Consultant shall provide expert guidance in organisational restructuring, operational efficiency analysis, and market-entry strategy development. All services under this Purchase Order shall be performed primarily at the buyer's offices located in Australia Brisbane, with the option of remote consultation as mutually agreed upon in writing. The Business Consultant is expected to be physically present in Australia Brisbane for a minimum of three (3) business days per week throughout the engagement period.

Payment Schedule: Invoices shall be submitted monthly in arrears, due within thirty (30) days of the invoice date. The first invoice shall be issued upon completion of the first full calendar month of the engagement.
Payment Method: Electronic Funds Transfer (EFT) to the Business Consultant's nominated bank account. Bank details to be confirmed in writing prior to the first payment.
Retainage: A retainage of ten percent (10%) shall be withheld from each monthly invoice and released in full upon satisfactory completion of all deliverables outlined in this Purchase Order.
Currency: All amounts are denominated in Australian Dollars (AUD) and are inclusive of applicable Goods and Services Tax (GST) as per Australian Taxation Office regulations.
5.1 This Purchase Order is governed by the laws of the State of Queensland, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved through mediation in Australia Brisbane before proceeding to litigation in the Queensland Courts.
5.2 The Business Consultant warrants that all services rendered under this Purchase Order shall be performed with the degree of skill, care, and diligence expected of a reasonably competent professional consultant in Australia Brisbane. The Business Consultant shall comply with all applicable Australian privacy legislation, including the Privacy Act 1988 (Cth).
5.3 The Business Consultant shall maintain professional indemnity insurance with a minimum cover of AUD $5,000,000 for the duration of this engagement. A certificate of insurance shall be provided to the buyer prior to the commencement of services.
5.4 All intellectual property, reports, strategies, and documents created by the Business Consultant specifically for the buyer under this Purchase Order shall become the sole property of the buyer upon full payment. The Business Consultant retains the right to use anonymised, aggregated findings for general industry publications with prior written consent from the buyer.
5.5 Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination, less the applicable retainage.
5.6 The Business Consultant shall not subcontract any portion of the services outlined in this Purchase Order without the prior written consent of the buyer. Any approved subcontractor shall be bound by the same confidentiality and professional standards as the Business Consultant.
5.7 The Business Consultant acknowledges that all work performed under this Purchase Order is subject to the buyer's internal compliance and governance policies as in effect in Australia Brisbane at the time of engagement.
The Business Consultant agrees to treat all proprietary information, financial data, client lists, and strategic documents of Meridian Strategic Holdings Pty Ltd as strictly confidential. This obligation survives the termination of this Purchase Order for a period of three (3) years. The Business Consultant shall store all buyer data in accordance with Australian data protection standards and shall not transfer any data outside of Australia Brisbane or the Commonwealth of Australia without explicit written authorisation.
This Purchase Order becomes effective upon signature by both parties. The Business Consultant's acceptance of this Purchase Order constitutes agreement to all terms, conditions, and service descriptions set forth herein. No amendment to this Purchase Order shall be valid unless made in writing and signed by both parties.
