- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes shall be resolved through the Victorian Commercial and Consumer Panel or the Supreme Court of Victoria.
- Business Consultant Obligations: The Business Consultant shall maintain all necessary professional indemnity insurance (minimum $10,000,000 AUD) and public liability insurance throughout the engagement period. The Business Consultant shall comply with all Australian Privacy Act 1988 obligations when handling Meridian's confidential data.
- Intellectual Property: All reports, strategies, frameworks, and deliverables produced by the Business Consultant under this Purchase Order shall become the sole intellectual property of Meridian Strategic Solutions Pty Ltd upon full payment. The Business Consultant retains the right to reference the engagement in anonymised case studies with prior written consent.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made via electronic funds transfer (EFT) to the Business Consultant's nominated Australian bank account within thirty (30) calendar days of the invoice date. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.
- Confidentiality: The Business Consultant shall treat all information received from Meridian as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the termination date, plus reasonable transition costs not exceeding $5,000 AUD.
- Work Location: Primary work shall be conducted at Meridian's Melbourne office at 350 Collins Street. Remote work from any location within Australia Melbourne metropolitan area is permitted with prior approval. Travel within the Melbourne metropolitan area is included; travel outside Melbourne shall be reimbursed at cost with prior written authorisation.
- Compliance: The Business Consultant warrants that all services shall comply with the Australian Competition and Consumer Act 2010, the Corporations Act 2001 (Cth), and all applicable Victorian state legislation.
