1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Business Consultant. Apex Business Consulting Group Pty Ltd acknowledges receipt of this Purchase Order and agrees to deliver all Business Consultant services as specified herein.
2. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of invoice receipt. All payments shall be made via electronic funds transfer (EFT) to the bank account nominated by the Business Consultant. Late payments shall accrue interest at the rate prescribed under the Australian Consumer Law.
3. Service Delivery: The Business Consultant shall dedicate a minimum of 40 hours per week to this engagement. Primary service delivery shall occur at the purchaser's offices in Australia Sydney, with remote work permitted for up to two days per week subject to prior approval.
4. Confidentiality: The Business Consultant shall maintain strict confidentiality regarding all proprietary information, trade secrets, and commercially sensitive data accessed during the engagement. This obligation survives termination of this Purchase Order for a period of five (5) years.
5. Intellectual Property: All reports, strategies, models, and deliverables produced by the Business Consultant under this Purchase Order shall become the sole property of Meridian Strategic Holdings Pty Ltd upon full payment.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the termination date, less any outstanding deliverables.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Australia Sydney in accordance with the Commercial Arbitration Act 2011 (NSW). If mediation fails, disputes shall be referred to the Supreme Court of New South Wales.
8. Insurance: The Business Consultant shall maintain professional indemnity insurance of no less than AUD $10,000,000 and public liability insurance of no less than AUD $20,000,000 for the duration of this engagement.
9. Compliance: The Business Consultant warrants that all services shall comply with Australian workplace health and safety legislation, the Privacy Act 1988 (Cth), and all applicable regulations within the Australia Sydney jurisdiction.
