This Purchase Order is issued by Dhaka Enterprise Solutions Ltd. to engage the services of Apex Business Consultant Group, a duly registered and licensed Business Consultant firm operating in Bangladesh Dhaka, to provide comprehensive strategic advisory, operational restructuring, and market expansion consulting services. The Business Consultant shall deliver all professional services in accordance with the scope of work outlined below and in full compliance with the applicable laws and regulations of the People's Republic of Bangladesh, including but not limited to the Bangladesh Companies Act 1994, the Income Tax Ordinance 1984, and the Bangladesh Labour Act 2006. All deliverables and on-site engagements shall be conducted primarily at the Buyer's registered office in Bangladesh Dhaka unless otherwise agreed in writing.

• Payment shall be made in Bangladeshi Taka (BDT) via bank transfer to the Seller's designated account at a commercial bank in Bangladesh Dhaka.
• 30% advance payment (BDT 2,673,750) shall be due within 7 working days of the Buyer's written acceptance of this Purchase Order.
• 40% interim payment (BDT 3,565,000) shall be due upon completion and acceptance of Milestones 01 through 04 as verified by the Buyer's Project Steering Committee.
• 30% final payment (BDT 2,673,750) shall be due within 30 days of final delivery and written acceptance of all remaining deliverables.
• All invoices raised by the Business Consultant must reference this Purchase Order number (PO-BD-2025-04782) and include a valid Tax Invoice as per the requirements of the National Board of Revenue (NBR), Bangladesh.
• Late payments shall attract interest at the rate of 1.5% per month or the maximum rate permitted under Bangladesh law, whichever is lower.

• The Business Consultant shall assign a dedicated team of no fewer than four (4) qualified professionals, including at least one (1) senior consultant with a minimum of fifteen (15) years of experience in corporate strategy and operations within the South Asian market.
• All work products, reports, models, and intellectual property created under this Purchase Order shall become the sole property of the Buyer upon full payment. The Business Consultant retains no rights to reuse, publish, or disclose any confidential information pertaining to the Buyer's business.
• The Business Consultant shall comply with all data protection and confidentiality obligations under the Digital Security Act 2018 of Bangladesh and shall execute a separate Non-Disclosure Agreement (NDA) prior to commencing any work.
• On-site meetings, workshops, and advisory sessions shall be conducted at the Buyer's premises in Bangladesh Dhaka (Gulshan-2) during standard business hours (9:00 AM to 6:00 PM, Sunday through Thursday). Additional travel or after-hours work shall be pre-approved in writing.
• The Business Consultant shall provide a weekly progress report every Friday and a monthly comprehensive status report by the 5th of the following month.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and deliverables accepted up to the date of termination.
• This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising hereunder shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act 2001.
• This Purchase Order constitutes the entire agreement between the parties with respect to the engagement of the Business Consultant and supersedes all prior negotiations, representations, and agreements, whether written or oral.
