This Purchase Order authorizes the engagement of a qualified Business Consultant to deliver strategic advisory services to Meridian Strategic Holdings S.A. All amounts are denominated in Euro (EUR). VAT is applied at the standard Belgian rate of 21% as per the Belgian Code on VAT (Code de la TVA / Wet op de BTW). The Business Consultant is registered for VAT purposes in Belgium Brussels and shall issue compliant Belgian VAT invoices in accordance with the Federal Public Service Finance regulations.
Payment Schedule: Invoices issued by the Business Consultant shall be payable within thirty (30) calendar days from the date of invoice receipt. Payment shall be made via SEPA bank transfer to the Business Consultant's Belgian bank account (IBAN: BE68 5390 0754 7034).
Retainer Billing: The monthly advisory retainer (Ref 05) shall be invoiced in advance on the first business day of each calendar month, commencing 1 July 2025.
Late Payment: In the event of late payment, interest shall accrue at the rate prescribed by the Belgian Law of 2 August 2002 on Late Payment in Commercial Transactions, as amended, applicable within the Kingdom of Belgium.
Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the competent commercial courts of Belgium Brussels (Tribunal de Commerce de Bruxelles / Rechtbank van Koophandel Brussel), in accordance with Belgian procedural law.
Confidentiality: The Business Consultant shall maintain strict confidentiality of all proprietary information of Meridian Strategic Holdings S.A., in compliance with the Belgian Data Protection Act (Law of 30 July 2018) and the EU General Data Protection Regulation (GDPR).
Termination: Either party may terminate this Purchase Order engagement with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the effective date of termination.
This Purchase Order is issued and governed under the laws of the Kingdom of Belgium. The Business Consultant acknowledges that all services shall be performed in full compliance with the Belgian Companies Code (Code des Sociétés et des Associations), the Brussels-Capital Region professional services regulations, and all applicable European Union directives. The Business Consultant confirms that they hold valid professional liability insurance with a minimum coverage of €1,000,000, as required for professional services engagements in Belgium Brussels. All deliverables shall be submitted in both French and English, reflecting the bilingual administrative requirements of the Belgium Brussels region.
