4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Vendor for the provision of Business Consultant services as described herein. All work shall be performed in accordance with the professional standards expected of a certified Business Consultant operating within the jurisdiction of Brazil Brasília.
4.2 The Business Consultant shall maintain full confidentiality regarding all proprietary information, trade secrets, and internal data accessed during the engagement in Brasília. A separate Non-Disclosure Agreement (NDA) has been executed under reference NDA-2025-0231.
4.3 All deliverables must be submitted in Portuguese and English. The Business Consultant shall conduct all on-site meetings at the Buyer's Brasília office located in the Setor Comercial Sul unless otherwise agreed in writing.
4.4 Payment shall be made via bank transfer (TED/PIX) to the account designated by the Vendor. Invoices must reference this Purchase Order number (PO-2025-04782) and shall be payable within thirty (30) calendar days of receipt of a valid invoice.
4.5 The Vendor warrants that the Business Consultant engaged under this Purchase Order holds valid professional registration with the relevant Brazilian professional councils (CFA, CRC, or equivalent) and possesses a minimum of ten (10) years of experience in corporate strategy consulting within Brazil.
4.6 Any changes to scope, timeline, or deliverables must be documented through a formal Change Order signed by both parties. No additional fees shall be incurred without prior written approval from the Buyer's Procurement Department in Brasília.
4.7 This Purchase Order is governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brasília – DF, Federal District.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Business Consultant in Brazil Brasília. The Vendor confirms availability to commence services no later than 20 June 2025 and to complete all deliverables by 30 September 2025.
NOTE: This Purchase Order is valid for a period of ninety (90) days from the date of issue. If not accepted and signed by the Vendor within this period, the Buyer reserves the right to cancel this Purchase Order without penalty or obligation. All services rendered under this Purchase Order are subject to the Buyer's internal quality assurance review process conducted by the Brasília operations team.
