The engagement covers the following scope of work:

• Conduct a full operational audit of the company's existing business processes across all departments located in the Rio de Janeiro metropolitan area.
• Develop a three-year strategic growth plan tailored to the competitive landscape of the Brazilian market, with specific focus on the state of Rio de Janeiro and its economic corridors.
• Provide advisory services on regulatory compliance, including adherence to Brazilian corporate law, tax obligations under the state of Rio de Janeiro, and municipal licensing requirements.
• Design and implement a change management framework to facilitate organizational restructuring.
• Deliver a minimum of twelve (12) on-site consulting sessions at the company's headquarters in Rio de Janeiro, RJ, with additional remote sessions as mutually agreed.
• Prepare and present a final comprehensive report with actionable recommendations to the Board of Directors.

Payment Terms: Payments shall be made in three (3) equal installments of R$ 114,833.33, due within fifteen (15) business days following the acceptance of each phase deliverable. Payment shall be executed via bank transfer (TED/PIX) to the account designated by the Business Consultant. All amounts are subject to applicable Brazilian taxes, including ISS (Imposto Sobre Serviços) levied by the municipality of Rio de Janeiro, and any applicable withholding taxes as mandated by Brazilian federal legislation.

1. This Purchase Order constitutes a binding agreement between the parties upon signature and shall be governed by the laws of the Federative Republic of Brazil, with specific reference to the Civil Code (Código Civil – Lei nº 10.406/2002) and the Brazilian Commercial Code.
2. The Business Consultant shall perform all services with the highest degree of professional competence, confidentiality, and diligence, in full compliance with the ethical standards established by the Brazilian Association of Consultants (ABIC).
3. All work product, reports, strategic plans, and intellectual property developed under this engagement shall become the exclusive property of Rio Ventures Holdings Ltda. upon full payment of the contract value.
4. The Business Consultant shall maintain professional liability insurance with a minimum coverage of R$ 500,000.00 for the duration of the engagement in Brazil, Rio de Janeiro.
5. Either party may terminate this agreement with thirty (30) days' written notice. In the event of early termination, the Business Consultant shall be compensated for all services rendered up to the termination date, as documented in the project log.
6. Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Brazilian Arbitration Association (CAMARB), with the seat of arbitration established in the city of Rio de Janeiro, state of Rio de Janeiro, Brazil.
7. The Business Consultant shall comply with all data protection requirements under the Brazilian General Data Protection Law (LGPD – Lei nº 13.709/2018) when handling any personal or corporate data during the engagement.
8. This Purchase Order may not be assigned or subcontracted without the prior written consent of Rio Ventures Holdings Ltda.
9. All communications related to this engagement shall be directed to the addresses and contact persons specified in this document, located in Brazil, Rio de Janeiro.
