2. SCOPE OF ENGAGEMENT — BUSINESS CONSULTANT SERVICESThis Purchase Order is issued by Groupe Industriex Inc. to formally engage Stratégie Conseil Montréal Ltée, a recognized Business Consultant firm operating in Canada Montreal, to deliver comprehensive strategic advisory services. The Business Consultant engagement encompasses organizational restructuring analysis, operational efficiency audits, market expansion strategy development for the Quebec and broader Canadian market, and implementation of best-practice management frameworks tailored to the unique regulatory and economic environment of Canada Montreal.
The Business Consultant shall provide dedicated on-site presence at the Canada Montreal headquarters for a minimum of three (3) days per week throughout the engagement period, supplemented by remote advisory sessions as required. All deliverables produced by the Business Consultant must comply with the applicable standards set forth by the Ordre des conseillers en ressources humaines agréés (CRHA) and the professional guidelines established by the Chambre de commerce du Montréal métropolitain.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the applicable federal and provincial legislation of Canada Montreal. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal in accordance with the rules of the Chambre de commerce du Montréal métropolitain.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Business Consultant. Invoices must be submitted in Canadian Dollars (CAD) and must include the QST number of Stratégie Conseil Montréal Ltée. Late payments shall accrue interest at the rate prescribed under the Quebec Civil Code.
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of Groupe Industriex Inc. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Intellectual Property: All reports, strategies, frameworks, and deliverables produced by the Business Consultant specifically for this Purchase Order engagement in Canada Montreal shall become the exclusive property of Groupe Industriex Inc. upon full payment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the termination date, and a final transition report shall be delivered within fourteen (14) days.
