- Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Business Consultant. The Business Consultant must return a signed copy of this Purchase Order to the Buyer's procurement office in Canada Vancouver within five (5) business days of receipt.
- Performance Period: All Business Consultant services outlined in Section 3 shall be performed between June 23, 2025, and September 15, 2025, at the Buyer's principal office located in Canada Vancouver, British Columbia, unless otherwise agreed in writing.
- Payment Schedule: Invoices shall be submitted bi-weekly. Payment is due within thirty (30) days of invoice receipt. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer to the Business Consultant's designated account in Canada Vancouver.
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of the Buyer. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All reports, strategies, analyses, and deliverables produced by the Business Consultant under this Purchase Order shall be the exclusive property of the Buyer upon full payment.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all Business Consultant services rendered up to the date of termination.
- Compliance: The Business Consultant warrants full compliance with all applicable federal and provincial laws of Canada, including but not limited to the Canada Labour Code, British Columbia Employment Standards Act, and the Personal Information Protection Act (PIPA) applicable in Canada Vancouver.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Vancouver, British Columbia, in accordance with the rules of the British Columbia Dispute Resolution Centre. If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Canada Vancouver.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Canada Vancouver region.
- Entire Agreement: This Purchase Order, together with any attached exhibits, constitutes the entire agreement between the parties regarding the engagement of the Business Consultant and supersedes all prior negotiations, representations, or agreements.
