The Business Consultant shall operate in full compliance with the Chilean Labor Code (Código del Trabajo, Ley 19.728) and all applicable regulations of the Superintendencia de Seguros de Chile where applicable.

This Purchase Order is issued by Andes Corporate Solutions SpA to formally engage the services of the above-named Business Consultant for a comprehensive strategic advisory engagement based in Santiago, Chile. The Business Consultant shall provide the following professional services throughout the contract period:

Payment for the Business Consultant services shall be made in accordance with the following schedule, subject to satisfactory delivery of milestones as defined in this Purchase Order:

All payments shall be made via bank transfer to the Business Consultant's designated account in Chile. The Business Consultant must issue a valid Factura Electrónica (Electronic Invoice) in compliance with the SII (Servicio de Impuestos Internos) of Chile prior to each payment. Late payments shall accrue interest at the rate established by the Banco Central de Chile.

5.1 This Purchase Order is governed by the laws of the Republic of Chile. Any disputes arising from this engagement shall be resolved in the competent courts of Santiago, Chile, or through arbitration at the Centro de Arbitraje y Mediación de la Cámara de Comercio de Santiago (CCS), as mutually agreed by the parties.

5.2 The Business Consultant shall maintain full confidentiality regarding all proprietary information, trade secrets, and business data of Andes Corporate Solutions SpA. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

5.3 The Business Consultant warrants that all deliverables shall be original, free of intellectual property infringement, and shall be the sole property of Andes Corporate Solutions SpA upon full payment.

5.4 The Business Consultant shall comply with all applicable Chilean tax obligations, including the withholding of Impuesto a la Renta (Income Tax) as required by the SII. The Business Consultant is responsible for their own social security contributions (AFC) and any applicable professional fees.

5.5 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the termination date, less any amounts already paid.

5.6 The Business Consultant shall conduct all on-site work from the Andes Corporate Solutions SpA offices located in Las Condes, Santiago, Chile, and shall adhere to the company's internal policies, safety protocols, and code of conduct.

5.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters (earthquakes, tsunamis), government actions, or public health emergencies affecting the Santiago metropolitan area or Chile in general.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Business Consultant in Santiago, Chile.
