- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the People's Republic of China, including the Civil Code of the PRC and applicable regulations of the Beijing Municipal People's Government.
- Place of Performance: All services rendered under this Purchase Order shall be performed primarily in China Beijing. The Business Consultant shall maintain a registered office or designated workspace within the administrative boundaries of Beijing Municipality for the duration of the engagement.
- Confidentiality: The Business Consultant shall treat all proprietary information, trade secrets, and business data of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. All confidential materials shall be stored on servers physically located within China Beijing in compliance with the PRC Data Security Law and the Personal Information Protection Law.
- Intellectual Property: All reports, analyses, strategic plans, and deliverables produced by the Business Consultant specifically for the Buyer under this Purchase Order shall be the exclusive intellectual property of Beijing Horizon Enterprise Group Co., Ltd. upon full payment.
- Compliance with PRC Regulations: The Business Consultant warrants full compliance with all applicable Chinese laws, including but not limited to the Foreign Investment Law, the Anti-Unfair Competition Law, and any sector-specific regulations issued by the State Administration for Market Regulation (SAMR) and the Beijing Municipal Commission of Commerce.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Business Consultant shall deliver all work-in-progress materials to the Buyer within fourteen (14) days.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be resolved through amicable negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the Beijing Arbitration Commission (BAC) for arbitration in accordance with its then-current rules. The seat of arbitration shall be Beijing, China.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies as declared by the Beijing Municipal Government.
- Subcontracting: The Business Consultant shall not subcontract any portion of the services described in this Purchase Order without the prior written consent of the Buyer. Any approved subcontractor must also maintain operational presence in China Beijing.
- Language: This Purchase Order is executed in English. In the event of any discrepancy between the English version and any Chinese translation, the English version shall prevail unless otherwise agreed in writing by both parties.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Business Consultant in China Beijing. This document constitutes a binding procurement instrument upon execution by both authorized representatives.
