4.1 This Purchase Order constitutes a binding agreement between Andes Corporate Solutions S.A.S. (hereinafter "the Buyer") and Strategic Advisory Partners Ltda. (hereinafter "the Vendor") for the provision of Business Consultant services in Colombia Bogotá. Both parties acknowledge that the Business Consultant named under this Purchase Order shall comply with all applicable Colombian labor, tax, and commercial regulations.

4.2 The Business Consultant shall maintain professional confidentiality at all times. All data, financial records, strategic plans, and proprietary information accessed during the engagement in Colombia Bogotá shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Buyer.

4.3 Payment shall be made via bank transfer (transferencia bancaria) to the account designated by the Vendor. Invoices must be submitted on the last business day of each month for services rendered. The Buyer reserves the right to withhold payment for any deliverable that does not meet the quality standards outlined in the Statement of Work attached to this Purchase Order.

4.4 The Business Consultant is required to be physically present in Colombia Bogotá a minimum of three (3) days per week for the duration of the on-site phases. Remote work from other locations within Colombia is permissible for the remaining days, provided that all deliverables and communication schedules are met.

4.5 Any changes to the scope, timeline, or deliverables of this Purchase Order must be documented in a formal Change Order signed by both parties. No additional Business Consultant services shall be performed beyond the scope defined herein without written authorization.

4.6 This Purchase Order is governed by the commercial laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through the commercial courts of Bogotá D.C., Colombia. The parties agree to attempt mediation before initiating any litigation.

4.7 The Vendor (Business Consultant) warrants that all services rendered shall be performed with professional diligence, in accordance with industry best practices, and in full compliance with the Colombian Code of Commerce and applicable regulations of the Superintendencia de Sociedades.

This Purchase Order is valid upon signature by both parties. The Business Consultant engagement shall commence on July 1, 2025, in Colombia Bogotá, and shall conclude on December 31, 2025, unless extended by mutual written agreement.
